General information, not legal or tax advice — confirm with a local adviser before you act.

A foreign company can commission genuinely independent services in China. When it directs the person's work as an ongoing role, the actual controls matter more than a service agreement or business registration; start with the China employment route and its employer of record option. 4dev.com's Contractor Platform country list includes China for independent contractors.

Where the line runs between employee and contractor

Chinese courts examine the working arrangement as a whole, including who controls the work and whether it forms part of the client's business.

What Chinese courts look at in the work itself

In Guiding Case 237, the Supreme People's Court directs courts to consider the whole arrangement despite a contracting or cooperation agreement. The practical checks are whether the provider decides work time and volume, whether the client controls the work process, whether work rules, algorithmic rules, discipline or rewards and penalties apply, whether the work continues over time, and whether the provider can set or change the price. An arrangement also needs closer employment review where the organisation's rules govern paid work and that work forms part of its business.

  • Does the provider decide the time, volume and method for delivering an agreed result?
  • Does the client impose rules, discipline, attendance-like controls or a managed work process?
  • Is the work continuing and integrated into the client's business, rather than defined around a result?
  • Can the provider set or change the price?

A contracting label or individual-business registration does not decide status where actual labour management points to employment. Sources: 4, 5.

Managed work calls for an employment review. For independent delivery, record the agreed result and check that daily practice still fits it.

What a written agreement can and cannot settle

A services agreement can record the intended result and the parties' terms, but its title does not override dominant labour management in the work itself. Guiding Case 238 reaches the same conclusion where an individual has registered as an individual industrial and commercial household and signed a contracting agreement.

Remuneration and social-insurance records, identity badges, recruitment and attendance records, and co-worker testimony can evidence an employment relationship. For specified recruitment and attendance records, the employing unit bears the evidential burden. Compare those records with the service scope, acceptance record and day-to-day practice; a certificate or contract clause alone cannot settle status.

Where contractor status breaks in China

Stop using the contractor model when the day-to-day arrangement becomes managed, continuing labour rather than independent delivery of an agreed result.

A business certificate, tax filing position or contract title cannot cure managed work. Where the facts support an employment relationship, the consequences can include conditional double wages for a missing written labour contract and invalidity of a waiver of mandatory social insurance; neither result is a universal penalty. The Supreme People's Court interpretation sets those conditions, while the employee guide explains the wider route.

How a contractor is registered in China

A China service provider may be a natural person or a registered individual business, but either route must remain consistent with genuinely independent work.

Natural person or individual business?

An individual industrial and commercial household (个体工商户) registers its form, business scope, place of business, and the operator's name and address. It applies to the registration authority where it carries on business; an operator working only through a platform may apply where the operator resides. These particulars identify the business and its registration place. Worker status still depends on how the client directs the work.

A natural-person service provider can apply to the tax authority for a fapiao. Personal income tax is withheld by the payer rather than collected when the fapiao is issued; this is a tax-administration point, not a complete local filing sequence or a status determination.

A self-employed individual without employees may voluntarily join basic pension insurance and basic employee medical insurance, making personal contributions. Contribution bases, rates and local procedures vary, and no nationwide contractor rate or onboarding duration follows from this voluntary route.

Registration is not a safe harbour

Guiding Case 238 holds that individual-business registration and a contracting agreement do not defeat an employment finding where the actual work shows dominant labour management. Use the registration and tax records that fit the provider's real business, then apply the control checks in the preceding sections before treating the engagement as independent. The registration rules do not themselves require a foreign client to form a China entity solely to commission genuinely independent services. Assess the arrangement on its facts.

The contract: what must be in it

Use a contract that defines an independent result, the records that show its acceptance, and the rights that follow from delivery.

Scope, acceptance, confidentiality and commissioned rights

Under the Civil Code, a contract for work (承揽合同) is built around completing and delivering a work result. Its usual terms cover the subject, quantity, quality, remuneration, method, materials, deadline, and acceptance standard and method; the contractor ordinarily performs the principal work with its own equipment, technology and labour unless agreed otherwise. An entrustment contract (委托合同) instead concerns handling the principal's affairs, so choose the route that matches the engagement rather than relabelling an ongoing managed role.

For a result-based engagement, the contract and its acceptance record should identify:

  • the defined deliverable, quantity, quality standard, deadline and acceptance method;
  • any materials or access the client provides, and the provider's method of work;
  • what happens if delivered work does not meet the agreed quality standard: repair, reworking, reduced remuneration or damages may be available under the Civil Code;
  • the confidentiality instruction and whether copies or technical materials may be retained;
  • the commissioned work and who owns its copyright.

Copyright in commissioned work follows the agreement between the client and creator; without a clear agreement, it remains with the creator. If economic rights are transferred, the Copyright Law requires a written contract identifying the work, the rights transferred, territory, price and payment, and liability. A general IP clause does not replace those particulars.

Ending the contract

The exit rule depends on the Civil Code contract type. A customer may end a contract for work before completion, but must compensate the contractor for resulting losses. Either party may end an entrustment contract at any time; the statutory compensation position can include direct loss and, for paid entrustment, expected contractual benefit, subject to the stated qualification.

Set the notice, handover, acceptance and settlement steps in the agreement, then apply the rule that matches the actual contract. A foreign governing-law or jurisdiction clause does not supply a universal answer to the Chinese contract and status issues described here; this guide gives no blanket outcome for such a clause.

What a contractor must produce to get paid

Identify whether the provider is a natural person or a registered business before applying a VAT threshold. The contract, acceptance record and fapiao must describe the same work.

From accepted work to fapiao

Keep the service agreement, defined scope and acceptance record with the document that records the transaction for tax. A fully digital fapiao has the same legal effect as a paper fapiao and records the buyer and seller, item, amount, tax rate or collection rate, and tax amount. A commercial invoice and a Chinese tax fapiao serve different purposes; check which record the transaction requires.

A natural-person service provider can apply for tax-authority issuance of a fapiao. Issuance does not collect the individual's personal income tax at that moment: the payer withholds it instead. Preserve the agreement and acceptance record alongside the fapiao, so the work, parties and tax document describe the same service.

Which income-tax track applies?

For resident individual service remuneration, the withholding agent pre-withholds per transaction or per month. For an individual with business income, tax is calculated annually, prepaid after each month or quarter, and reconciled by 31 March of the following year; the progressive business-income rate is 5–35%. A business registration or fapiao does not by itself determine which income-tax track applies.

Three VAT thresholds, three questions

First identify whether the seller is a natural person or a registered business, then confirm whether the registered business is small-scale or general. A small-scale taxpayer has annual taxable sales not exceeding CNY 5 million; with adequate accounts, it may elect general taxation. From 1 January 2026, a unit or registered individual business that exceeds that annual standard moves to the general VAT method in the period of exceedance unless an exception applies, and a registered general taxpayer cannot revert to small-scale status.

Registered-business taxpayer statusAnnual taxable sales of no more than CNY 5 million define small-scale status; this is distinct from the periodic thresholds.PRC VAT Law

For a small-scale taxable transaction, sales below the applicable threshold are exempt; once the threshold is reached, VAT is computed on the full amount, not only the excess. The ordinary general rate for services and intangible assets is 6%, subject to the law's exceptions. For qualifying small-scale taxable transactions otherwise subject to a 3% collection rate, the rate is 1% in 2026–2027, excluding the stated property and land-use transactions.

A decision tree that sends a natural person to the usual per-transaction rule and a registered business to its small-scale or general-taxation status before any periodic threshold is used.
Natural-person per-transaction treatment has listed exceptions. Cross-border sale conditions are an additional check after either taxpayer path, not a separate taxpayer lane; zero rating is conditional. Sources: 9, 10, 11, 12.

Cross-border treatment is an additional check after taxpayer form and threshold, not an alternative taxpayer lane. Zero rating can apply only to prescribed services or intangible assets: the published categories include R&D, design, software, information systems and offshore outsourcing when sold to an overseas entity and wholly consumed abroad. A foreign client alone does not establish zero rating; confirm the service category, consumption condition and transaction documents.

If taxable sales are denominated in foreign currency, translate them into renminbi for VAT computation. Under the implementing rules, the taxpayer may choose the RMB central parity rate on the sales date or the first day of that month, then must keep that basis for 12 months; this is a tax calculation rule, not a bank conversion rate.

How the money actually arrives in China

For an incoming China service receipt, keep the contract, accepted deliverable, fapiao and payer identity aligned so the bank can match the transaction to its stated purpose.

For cross-border renminbi service trade, CIPS supports settlement through participating banks. For a genuine, lawful mainland individual's current-account foreign-currency income, the bank may credit the receipt directly; where it cannot determine the nature of the receipt, it can ask for transaction evidence. The contract should state the agreed currency and allocation of bank charges, but the verified rules do not set a universal charge or clearance time.

The bank's document review depends on the value and clarity of the transaction. Above USD 50,000 equivalent for a single service-trade receipt or payment, the bank checks whether the transaction documents match the parties, amount and purpose. At USD 50,000 equivalent or less, a bank generally need not review the documents, but it may require them where the nature of the funds is unclear; the threshold does not remove the need to retain genuine records.

Use the same evidence trail from contract to receipt:

  1. Agree the work result, price and acceptance method in the service contract.
  2. Record acceptance of the completed deliverable, or the agreed response to a quality issue.
  3. Issue the applicable commercial invoice or fapiao, with the agreement and acceptance record available to support it.
  4. Match the payer identity and receipt purpose to those records before the receipt reaches the bank.
A process from a contract for work and accepted deliverable through invoice or fapiao and an incoming mainland receipt, with a separate branch for a mainland payer's outward service-trade filing above USD 50,000.
Banks can request records when a receipt's nature is unclear. For outward payments, filing is generally required before the first single payment above USD 50,000 under the same contract, subject to statutory exceptions; it is not an inbound-receipt rule. Sources: 7, 13, 14, 15, 16, 17, 18, 19.

A separate tax-filing rule applies to outbound payments by a mainland payer. A mainland payer sending a single outward service-trade payment above USD 50,000 equivalent to an overseas person or entity generally files before that payment, subject to statutory exceptions. For repeated outward payments under one contract, filing is required only before the first single payment that exceeds the threshold, rather than before every later payment. This is not an inbound filing requirement for a China-based contractor receiving an overseas client's service consideration.

Payment terms and late payment

Set the due date, acceptance point, treatment of partial delivery and dispute process in the contract. China's SME payment deadlines apply only where both the buyer and supplier meet the regulation's conditions.

For a contract for work, remuneration follows the agreed date. If the date cannot be determined, it is due on delivery of the work result, or proportionately on partial delivery. An unpaid contractor may retain the completed work result or refuse delivery unless the parties agree otherwise, so acceptance criteria and a process for disputed work should be written before delivery.

Does the SME late-payment rule cover this buyer and supplier?

Check the buyer and supplier before applying the deadlines. The SME payment regulation covers purchases from qualifying legally established SMEs by government agencies, public institutions and large enterprises. It does not automatically cover a natural-person freelancer or an offshore buyer.

Covered buyerDeadline after deliveryContract qualification
Government agency or public institution buying from a qualifying legally established SME30 daysA longer agreed term may apply, but cannot exceed 60 days.
Large enterprise buying from a qualifying legally established SME60 daysA different term must be reasonably agreed under industry norms and transaction practice.
A decision tree showing that the rule first requires a qualifying legally established SME supplier and then a government, public-institution or large-enterprise purchaser before its payment deadlines and interest provisions apply.
For covered purchases, agencies and public institutions have 30 days after delivery, or an agreed term no more than 60 days. Large enterprises have 60 days unless a reasonable term applies. Interest rules differ. Sources: 20.

For a covered overdue amount, an agreed interest rate cannot be lower than the one-year loan prime rate at the time the contract is signed. The 0.05% daily rate applies only where the parties made no interest agreement. Do not carry either rule into an ordinary individual-contractor or offshore-client arrangement without first confirming that the regulation's supplier and buyer conditions are met.

What breaks, and at which step

A mismatch between the work and its records can surface at any step, from the control test to the bank's document review.

StepFailureRepair or check
Working arrangementControl drifts from a defined result to client-managed time, volume, rules, discipline or continuing work.Reassess the full control pattern, including business integration and the records that evidence it; registration and a contract label do not decide status.
Contract and commissioned workThe agreement does not clearly allocate copyright, or a purported transfer lacks the required written particulars.Identify the commissioned work, ownership and any transferred economic rights, including the work, rights, territory, price and payment, and liability.
Delivery and acceptanceThe deliverable does not meet its agreed quality standard, or there is no record of acceptance.Record the acceptance result and apply the available remedy: repair, reworking, reduced remuneration or damages.
FapiaoThe fapiao is missing or its parties, item, amount or tax fields do not align with the service record.Retain the agreement and acceptance record with the fapiao; a natural person can use the tax-authority issuance route.
VATA natural person is put on a periodic small-scale threshold, or a registered business uses the wrong taxpayer lane.Identify the taxpayer form first, then apply the natural-person per-transaction treatment with its listed exceptions, or the registered small-scale and general-taxpayer rules.
Bank recordThe bank cannot match the receipt's parties, amount and purpose to the transaction.Keep the contract, accepted work, invoice or fapiao and payer identity together; banks can request evidence when the receipt's nature is unclear.

Review the working arrangement first: a sound fapiao or bank file cannot change managed labour into independent work. For a genuinely result-based engagement, keep the contract, acceptance, rights and tax records consistent with the service delivered.

What a mistake costs and who pays

The relationship found and the particular breach determine the remedy; there is no single misclassification amount in these rules.

PartyRiskAmount or remedy
Employer, if the purported contractor is found to be an employeeA required written labour contract was not executed.Double wages may be calculated month by month, subject to statutory exceptions.
Employer, after an employment relationship is establishedA worker's waiver of statutory social insurance is relied on and contributions are not made. The waiver is invalid; the worker may terminate and claim economic compensation under the judicial interpretation.
Client commissioning a workCopyright ownership is not clearly agreed.Copyright remains with the commissioned creator.
Client receiving defective workDelivered work fails the agreed quality requirements.Repair, reworking, reduced remuneration or damages may be available.
Government agency, public institution or large enterprise in a covered SME purchaseAn amount is overdue under the SME payment regulation. An agreed interest rate cannot be below the one-year loan prime rate at contract signing; if no rate is agreed, daily interest is 0.05%.

The employment remedies apply only when their conditions are met. Any contractual indemnity depends on the parties' agreed clause; a contractor platform does not automatically assume the client's liability.

Contractor models and when each fits

Choose the model after testing whether the work is genuinely independent; a label, registration or platform workflow cannot convert client-managed labour into contractor work.

Agency-mediated serviceThe client, agency and service provider only as their actual agreements provideA service where an intermediary's role and the underlying deliverable are clear.Confirm who signs, who performs the work, and any qualification required for that particular service; an agency label does not displace the control test.
EmploymentThe individual and an actual lawful employing structureWork directed as ongoing labour under the client's rules and management.Use the China employment guide and Employer of Record guide to assess the employing structure, employer costs and EOR or dispatch limits.

A contract for work centres on a delivered result, ordinarily produced with the contractor's own equipment, technology and labour; entrustment concerns handling the principal's affairs. A natural person can seek tax-authority issuance of a fapiao, and a self-employed individual without employees may voluntarily join basic pension and employee medical insurance. Neither tax nor insurance treatment settles worker status.

Invoice and accounting tools can organise records after the engagement model is chosen. The client still needs the right services agreement and a fact-based status review.

One contractor versus ten

For a team, keep a separate work and document file for each provider and review how each person is managed. Team size creates neither automatic employment status nor a safe harbour.

FapiaoThe fapiao and the tax route used by the provider. Digital fapiao carry the same legal effect as paper fapiao; a natural person may use the tax-authority issuance route.Whether the supplier details and tax records still match the engagement and acceptance record.
Bank documentsThe agreement, acceptance evidence, fapiao where applicable, and documents that identify the payer, amount and service purpose. For a single service-trade FX receipt above USD 50,000 equivalent, the bank checks matching transaction documents; at or below that amount it may still request them where the funds' nature is unclear.

As the project grows, check autonomy over time and volume, management rules and discipline, continuity, and price setting for each provider. Registration and a contracting agreement do not resolve status where daily practice shows dominant labour management.

A mainland individual's genuine, lawful current-account foreign-currency income may be credited directly. If the bank cannot identify the receipt's nature, it can request evidence; a separate contract-to-acceptance-to-record trail for each provider gives it the documents to examine.

4dev.com

China appears on 4dev.com’s Contractor Platform country list for independent B2B services. Its standard agreements, closing documents, IP assignment and onboarding status checks give the client a document workflow; the published listing does not identify a mainland entity or China-law contract form.

Deel

Deel offers localised contracts for its China contractor route and says legal firms in China approve them. The reviewed page does not publish a mainland entity, Chinese governing-law terms, a classification-assessment feature, standard IP terms or a China-specific document format.

Remote

Remote lists China separately from Hong Kong for contractor management. It describes localised contracts and documentation, but the reviewed China material does not establish Chinese governing law or a mainland entity; standard IP terms, a local-document format and a classification workflow are not published.

G-P

G-P's China contractor guide describes the G-P Contractor route and lists China separately from Hong Kong. It leaves the mainland entity, China-law contract terms, standard IP assignment, local-document handling and classification support unpublished.

Skuad

Skuad describes a China contractor and Agent of Record route with locally compliant agreements and worker classification checks. The reviewed material does not establish Chinese governing law or a mainland entity, standard IP terms or a China-specific document format.

Freelancer.com

Freelancer.com's China directory covers software, design, translation, sourcing and other project work. It is a sourcing route: the client must arrange the services agreement and assess worker status. The directory does not publish a mainland entity, local-law contract terms, IP assignment, local documents or classification support.

EPWK / 一品威客

EPWK's filing identifies China operations through its VIE and subsidiaries; website and software development are among its marketplace services. A buyer still needs a services agreement, rights chain and worker-status analysis. The filing does not publish local-law contract terms, standard IP assignment, local documents or classification support.

Baiwang / 百望

Baiwang's registered office and principal place of business are in Beijing. Its tax-invoice compliance and digital-invoice management tools handle records for an existing service engagement; the reviewed materials do not establish a contractor-hiring route, classification support, local-law contracts or IP assignment.

NuoNuo / 诺诺

Zhejiang NuoNuo operates an e-invoice platform and online and offline tax services. A supplier can use its invoicing records after arranging the engagement; the reviewed material does not establish a contractor-hiring route, services agreement, IP assignment or classification support.

Changjet Good Accountant / 畅捷通好会计

Changjet Good Accountant handles electronic-invoice upload, verification and archiving, automatically generated tax forms, and online invoicing for registered individual industrial and commercial households. These are accounting steps for an existing engagement. The reviewed product pages do not identify a mainland entity for this listing or establish a contractor-hiring route, classification support, local-law contracts or IP assignment.

Kingdee Invoice Cloud / 金蝶发票云

Kingdee Invoice Cloud supports Chinese tax devices and digital invoices, including creation, query, management and archiving. Those functions serve an existing engagement; the reviewed product page does not establish a mainland entity for this listing, contractor-hiring route, classification support, local-law contracts or IP assignment.

Questions people actually ask

Can a foreign company hire contractors in China without a local entity?

A foreign company can commission genuinely independent China services. If the work is in fact client-managed employment, use an actual lawful employing structure and assess the China employment route instead of treating a contractor form as a cure.

What makes a China contractor an employee?

The answer turns on how the work is actually done: a court considers control of time and volume, management of the work process, rules and discipline, continuity, and who sets the price. An unsigned employment contract does not prevent an employment relationship where the worker is managed under the organisation's rules for paid work that forms part of its business.

Does individual-business registration prove contractor status?

No. Guiding Case 238 says individual-business registration and a contracting agreement do not defeat an employment finding where the facts show dominant labour management. Review who actually sets the hours, assigns the work and enforces work rules; those controls supported the employment finding in that case despite the registration.

What contract should I use with a China contractor?

For a defined result, a Civil Code contract for work should set out the subject, quantity, quality, method, deadline and acceptance standard. For commissioned work, state the copyright allocation clearly; a written transfer of economic rights must identify the work, rights, territory, price, delivery date and method, and liability.

Can a natural person issue a fapiao after a short project?

Yes: a natural-person service provider can apply for tax-authority issuance of a fapiao. Personal income tax is withheld by the payer rather than collected when that fapiao is issued, so retain the agreement and acceptance record with it.

Which VAT threshold applies to a natural person?

A natural person normally accounts for VAT per transaction, subject to listed exceptions, with a CNY 1,000 per day threshold in 2026–2027 and same-day transactions aggregated. This differs from a registered small-scale taxpayer's CNY 100,000 monthly or CNY 300,000 quarterly threshold and its separate annual small-scale-status ceiling of CNY 5 million; when an applicable small-scale threshold is reached, VAT is calculated on the full amount.

What documents can a bank ask for on an overseas service receipt?

For one service-trade receipt above USD 50,000 equivalent, the bank checks transaction documents against the parties, amount and purpose. At or below that amount, documents are generally not reviewed but may still be requested if the funds' nature is unclear; for a lawful mainland individual's current-account receipt, the bank can also ask for evidence where it cannot identify the nature of the funds.

What happens if a contractor is misclassified?

If the relationship is found to be employment and a required written labour contract was not executed, double wages may be calculated month by month, subject to statutory exceptions. A waiver of statutory social insurance is invalid; if the employer does not contribute, the worker may terminate and claim economic compensation under the judicial interpretation.
