General information, not legal or tax advice — confirm with a local adviser before you act.

A foreign company can contract for genuinely independent services in Vietnam. Paid work under the buyer's management or supervision may instead be employment, regardless of the contract's name. If the role is managed, see Hiring in Vietnam or the employer of record guide.

The supplier's actual status determines its registration, tax and invoice route; neither the service label nor a turnover figure decides employment status. 4dev.com's Contractor Platform lists Viet Nam in its contractor country coverage.

Where the line runs: a service contract or supervised work?

Paid work under another party's management, direction and supervision may be an employment contract even if the document is called a service contract. Business registration and turnover do not settle that question either. The compulsory social-insurance definition also reaches such work when it lasts at least one month under another name.

Examine how the work is assigned and reviewed. In an IT engagement, client-assigned tickets, fixed availability for SLA windows, client credentials, manager-led performance reviews and limits on declining work can show control and integration together. Weigh business independence and commercial risk alongside them; none of these signals is a statutory points test or safe harbour.

For example, a field engineer may work remotely yet still receive priorities through the buyer's ticketing system, be required to remain available at set times, use the buyer's credentials and report to an overseas manager. That combination calls for an employment-substance assessment, while the fact that work is remote, or that a ticketing system exists, does not decide the result by itself.

No single factor is decisive, and a genuine contractor may share one or two of these features.

— Stephen Le, Founder and Managing Partner, Le & Tran Law

The classification decision turns on the paid-work and supervision test; the IT signals help assess how the arrangement works in practice.

A contract label is not decisive. Control, integration and business independence are assessed together; IT ticketing or remote supervision is an operating signal, not a statutory points test. Sources: 4, 5, 6.

Employment status, tax and invoice thresholds

There is no single contractor threshold. Employment status depends on the working relationship. Annual business turnover determines certain VAT, resident business PIT and e-invoice obligations for eligible household or individual businesses; a separate threshold determines their PIT method.

The at-or-below-VND 1bn rule applies only to the eligible supplier's business turnover. It creates no general tax-free amount for every individual and says nothing about another supplier type's invoice route or whether the work is employment. Above that exemption threshold and up to VND 3bn, the law permits a choice between the stated PIT methods; above VND 3bn, the taxable-income method is mandatory.

The original 2026 VAT text used VND 500m. Later legislation delegated the amount to the Government, and Decree 141 set VND 1bn retroactively for the 2026 tax year. The annual-turnover rule, the invoice-registration deadline after a tax period and the employment test therefore need separate checks.

How a contractor is registered here

The supplier's legal form determines the registration route. A qualifying Vietnamese citizen with full civil capacity may found a household business alone or with family members, and that form carries all-assets liability. A foreign individual does not qualify merely by providing services in Vietnam.

A person operating under a household-business name must register it with the commune-level business-registration authority. For a complete qualifying application, the decree sets a three-working-day step for issuing the certificate and notifying the tax authority. A Vietnamese citizen or family member may register only one household business nationwide.

The decree exempts certain low-income casual activities from household-business registration, with the low-income level set locally. Neither that exception, registration nor annual turnover determines whether the work is employment. For another individual-business route, establish the supplier's status before setting up its tax and invoice process; the household-business document list does not automatically apply.

Household and individual businesses stopped using the presumptive fixed-tax method on 1 January 2026. That change concerns taxation; it does not change the employment test or set a general registration timetable.

The contract: what must be in it

A service contract should define the work and how the customer will accept it. Its terms should reflect an independent service arrangement in practice.

Scope, acceptance and IP rights

Set out the deliverables, required quality and quantity, deadline, place of performance, service fee and acceptance process. The Civil Code allows those terms and requires the provider to perform accordingly; it also requires customer consent before the provider delegates the work. State whether delegation is permitted, who can approve it, and what record confirms acceptance of each deliverable.

Unless the parties agree otherwise, the Civil Code makes the service fee due at the place of performance when the service is complete. State a different due date, place or acceptance condition in the contract if the parties intend one.

Make the rights clause match the actual output. For a work created under a qualifying commissioning contract with its author, the commissioning party owns the statutory economic rights and publication right unless the parties agree otherwise; that default does not make every contractor output automatic client property. Identify the relevant deliverables and rights expressly, and address moral-rights treatment and any contrary agreement rather than relying on a generic IP clause.

Ending the service contract

The termination clause should state the agreed events, notice process and consequences for incomplete work. If continuing the work no longer benefits the customer, the Civil Code permits termination on reasonable advance notice, while requiring payment for completed work and compensation for damage; the provider may terminate for the customer's serious breach. Reasonable notice is not a fixed employee notice period, so do not import an employment timetable into the service contract.

What a contractor must produce to get paid

The supplier's business and tax status determines its document route. The customer's foreign location alone does not determine invoice type, timing or VAT treatment.

Qualifying export service supplied directly to a foreign customer and consumed outside Vietnam0% VATVAT Law 2024

The VND 1bn exemption applies to eligible-business VAT and resident-business PIT. The above-threshold e-invoice duty and its registration deadline are separate. None of these rules determines employment status or postpones an invoice due under the supplier's applicable route.

For services, including services supplied to a foreign organization or individual, an e-invoice is generally issued when the service is completed even if the supplier has not received the money. An advance generally has its own receipt-time invoice rule, subject to listed exceptions. The invoice should show the seller's name, address and tax number as recorded; if the overseas buyer has no Vietnamese tax number, no buyer tax number needs to be shown, and its foreign tax ID should not be invented as a Vietnamese one.

Foreign customer location alone does not establish 0% VAT. The zero rate requires a qualifying service supplied directly to the foreign customer and consumed outside Vietnam; a transfer of intellectual-property rights abroad is expressly excluded. Where a software engagement combines services with IP rights, the VAT treatment needs a service-specific review rather than a blanket export-service conclusion.

How the money actually arrives

For an eligible inbound receipt, keep the service contract, acceptance record and applicable invoice together. The transfer instruction needs the beneficiary's registered name and account details; the receiving bank then reviews the transaction.

A Vietnam-resident individual may receive foreign currency transferred from abroad into a foreign-currency account at an authorized bank. That permission is distinct from the domestic-territory rule that generally restricts foreign-exchange pricing and transactions, subject to listed exceptions. The parties should agree the contract currency and who bears charges; do not assume a national fee split or an arrival-time standard.

The authorized institution decides which documents fit the transaction, checks and retains them, and the customer must present what it requires. Before the first transfer, ask the receiving bank which contract, invoice and supporting records it will need. No statutory document checklist applies to every contractor receipt; service invoice timing generally follows completion, while a relevant advance can trigger issuance on receipt.

One Vietnam-based freelancer reported a held inbound transfer after the beneficiary name did not exactly match their residence-card and bank records. Treat that as a practical reason to copy the account holder's registered name exactly, not as a universal bank rule or a promised resolution time.

Process diagram showing a service contract, a payment-to-bank-credit path, and a separate invoice-timing branch for service completion or a relevant advance receipt.
The invoice-timing branch is independent of every transfer: for services it generally follows completion, while a relevant advance can trigger invoicing on receipt. The bank decides transaction-appropriate documents. Sources: 10, 11, 12, 13.

Payment terms and late payment

Set the due date, place, acceptance event, currency and late-payment remedy in the service contract; Vietnam does not supply one universal 30- or 60-day service term. Unless the parties agree otherwise, the Civil Code places the service fee at the place of performance when the service is complete.

Under the Civil Code, a party that pays money late owes interest for the delay. Where agreed interest is governed by the Civil Code rule, the Article 468(1) ceiling is 20% per year unless another relevant law provides otherwise; without an agreed rate, Article 357 refers to the Article 468(2) rule. That civil treatment is not a fixed rate for every cross-border service contract.

Where the Commercial Law governs a late service-fee payment, the injured party may claim interest at the average market overdue-debt rate at the time of payment for the delay, unless the contract or another law provides otherwise. An agreed breach penalty is separate from interest and generally cannot exceed 8% of the value of the breached obligation. The applicable governing law and transaction scope must be checked before selecting one of these routes for a cross-border agreement.

What breaks in a Vietnam contractor engagement

Check the working relationship before choosing the supplier's registration, tax and invoice route. Then make the contract, invoice and transfer records consistent for the bank's review.

StepFailureCheck/remedy
Working relationshipA service label masks paid work under client management, direction and supervisionReview actual control, integration and business independence together; if the facts show a managed role, reassess the employment route rather than relying on the label
Supplier formA household-business route is used without confirming the founder's eligibility or the actual formConfirm whether the supplier qualifies for the household-business form and whether the commune-level registration route applies; do not use a turnover figure as a status answer
Annual turnoverAn eligible household or individual business crosses VND 1bn without moving to the required e-invoice systemTrack the supplier's annual business turnover and, where the rule applies, register within 30 days after the end of the crossing tax period
Service completionThe invoice is held until the foreign receipt arrivesCheck the completion and relevant-advance rules: service invoicing generally follows completion, even before receipt
Invoice recordsSeller details do not match the registration record, or a foreign buyer is given an invented Vietnamese tax numberUse the seller name, address and tax number from the record; omit a buyer tax number where the buyer has none in Vietnam
Bank reviewThe bank receives records that do not fit its transaction review, or the beneficiary name differs from its recordsAsk the receiving bank for its required documents and copy the registered beneficiary name exactly; the reported name mismatch is an anecdote, not a nationwide rule

These checks can prevent the listed failures but do not erase an earlier breach. Reassess status whenever the way the contractor works changes.

What a mistake costs and who pays

There is no automatic contractor penalty: these consequences arise only where the facts create the relevant employment or compulsory-insurance duty, and the breach must then be identified. Decree 283/2026 applies from 10 September 2026.

The 0.03% daily amount applies to the outstanding compulsory-insurance amount and delay days; it is separate from the administrative fine. It should not be confused with the buyer's late service-fee interest, which follows the distinct civil or commercial rules described above.

Supplier VAT or PIT cannot be calculated without the service, status and tax assumptions. For employment-related exposure, establish the employment substance and specific breach before applying a fine band, arrears or the daily addition.

Decision tree showing that employment substance can lead to separate contract-form fines or insurance administrative fines, arrears and 0.03 percent daily additions.

Models and when each fits

Choose the model by the real degree of control over the work, not by the label placed on the agreement. A managed role belongs on an employment route; a defined, independently delivered service can use a contractor route.

ModelContracting partyAppropriate controlCountry-document/classification question
Direct service contractBuyer and contractorContractor controls delivery of a defined serviceDoes the working system remain genuinely independent, and does the supplier's actual status support the required registration, invoice and tax route?
Contractor platformConfirm the provider's Vietnam contracting party in its published termsDefined contractor services where the platform's documented role fits the arrangementWhich Vietnam contract, document and classification fields does the provider actually publish, and which remain for the parties to establish?
Contractor of RecordThe COR contracts with the contractorContractor engagement where an intermediary contracting party is appropriateDoes the COR's Vietnam arrangement address the actual service, local documents and classification assessment?
Own Vietnam employer or employer of record arrangementThe employing entity or EOR entity contracts with the employeeA genuinely managed role, including daily direction and supervisionWhich entity is the legal employer, and what employment, insurance and local-document duties follow? See also Hiring in Vietnam.

A Contractor of Record can reduce reclassification risk by changing the contracting structure, but the actual working relationship still matters. Whether the provider indemnifies any liability depends on the contract; the model name alone does not establish it. For a contractor platform, compare its published country documentation with the actual Vietnam engagement.

One contractor versus ten

Headcount does not decide contractor status: one paid and supervised worker may be an employee in substance, while ten genuinely independent suppliers do not become employees merely because there are ten of them. Assess each engagement's actual control, integration and independence.

The VND 1bn tests belong to each eligible supplier's annual business turnover, not to the buyer's total spend across a contractor team. For an eligible household or individual business, the at-or-below-VND 1bn VAT and resident-business-PIT treatment remains separate from the above-VND 1bn e-invoice duty. Headcount matters in a different place: Decree 283 scales the fine for a named labour-contract form or type breach by the number of affected workers, rather than creating a general team-size penalty.

Reusable engagement-records checklist

  • Keep the actual work record: defined scope, deliverables, acceptance and evidence of how the supplier controls delivery.
  • Keep the service contract and any amendments, including delegation, rights and termination terms.
  • Confirm the supplier's stated registration status and revisit the applicable business, tax and e-invoice route as that status or turnover changes.
  • Check service-completion and relevant-advance invoice timing against the supplier's applicable document route.
  • Ask the receiving bank which records it requires for the actual transaction and use the beneficiary name and account details it recognizes; no universal bank document list is established.

Who works with contractors in Vietnam

These options cover different parts of a Vietnam contractor engagement: contracting, local documents, classification review and sourcing. “Not published” records a lack of public Vietnam-specific detail; it does not mean the provider lacks the capability.

4dev.com

4dev.com's country list includes Viet Nam. Its Contractor Platform is a global contractor platform, not an Employer of Record. Vietnam-specific contract, IP, document and classification details are not published.

Aniday

For a Vietnam service engagement, Aniday names Aniday LLC in Ho Chi Minh City as the contracting party. Its workflow specifies a Vietnamese-English service contract, Article 13 review, IP terms and a compliance record set. A supervised role instead calls for an employment route.

Deel

Deel describes localized contracts and Vietnam-related tax-document collection for its Vietnam contractor route. Its guidance also directs freelancers to local registration and documentation steps. Vietnam-specific IP assignment and classification workflows are not published.

Remote

Remote says it owns a Vietnam legal entity and offers a contractor-management route there. Its localized contracts are described, while Vietnam-specific standard IP terms and classification review remain unpublished.

Skuad

Skuad offers Vietnam contractor management and an Agent of Record route built around a service contract. It distinguishes that route from supervised work, but does not publish Vietnam-specific IP clauses or document workflows.

WorkMotion

WorkMotion includes contractors in its Vietnam route and says its EOR delivery uses subsidiaries and network partners. Contractor-contract language, IP wording and classification checks are unspecified in its public Vietnam material.

Nhan Kiet

In Nhan Kiet's Vietnam contractor-management workflow, the client remains party to the service contract. It specifies Vietnamese-English templates, IP assignment, onboarding records and Article 13 review. That review does not turn supervised employment into independent service work.

G-P

G-P's Vietnam contractor guide calls for a written service agreement covering scope, deliverables and IP ownership. Its contractor product offers classification guidance; Vietnam-specific document-system details are not published.

Freelancer.com

Clients can search Vietnam-based freelancer profiles on Freelancer.com for project sourcing. The country listing does not publish local contract terms, IP allocation, document handling or classification support.

vLance

vLance connects clients with freelancers in Vietnam and internationally for project work. Its marketplace route does not publish local-law contract, IP, document or classification support.

VietGigs

VietGigs, a Vietnam company, runs a marketplace for short-term projects between freelancers and clients. It does not publish details of a local-law contract, IP terms, documents or classification workflow.

MISA meInvoice

MISA's Vietnam business-household toolset includes meInvoice for e-invoices and tax declarations. It serves a local document workflow when the supplier's status requires one; it is not a contractor-engagement service.

Viettel S-Invoice

Viettel's S-Invoice creates, issues and manages electronic invoices in Vietnam. A qualifying local issuer may use it for its document workflow; the tool does not determine contractor status or contract terms.

Questions people actually ask

Can a foreign company hire an independent contractor in Vietnam?

Yes, where the work is genuinely an independent service arrangement. A paid relationship under the buyer’s management, direction or supervision may instead be an employment contract regardless of the label, and the compulsory social-insurance definition also reaches such differently named work lasting at least one month.

What makes a Vietnam contractor an employee?

The key question is whether the actual arrangement is paid work under the other party’s management, direction and supervision. Control, integration and commercial independence are assessed together; no single practical signal decides the result. A contractor label, registration form or turnover figure does not displace that substance test.

Does a freelancer in Vietnam need to register a household business?

A household business can be founded only by a Vietnamese citizen with full civil capacity. Foreign nationals and other independent suppliers need a route appropriate to their status and activity, with the corresponding registration, tax and invoice steps. The presumptive fixed-tax method ended on 1 January 2026.

Is the 2026 VND 1bn threshold a tax exemption or an invoice trigger?

For eligible household and individual businesses, annual business turnover at or below VND 1bn is outside VAT and resident business PIT. Above VND 1bn, those businesses must use the specified e-invoice system, while a newly over-threshold business has 30 days after the end of the relevant tax period to register. These are separate supplier-side rules, not an employment-status test or a universal tax-free amount.

When does a Vietnam contractor invoice a foreign client?

For services, including services for a foreign organization or individual, an e-invoice is generally issued when the service is completed, whether or not the supplier has received the money. An advance generally has a receipt-time rule, subject to listed exceptions. The seller’s registration details belong on the invoice; a foreign buyer without a Vietnamese tax number does not need one invented.

Does the overseas customer have to withhold Vietnam foreign-contractor tax?

Buying services from a Vietnam-based contractor does not alone create that withholding duty. The foreign-contractor-tax rule described here concerns a Vietnam business buying services from a foreign organization without a Vietnam permanent establishment, or from a nonresident foreign individual. A separate withholding rule can apply to a domestic or foreign digital-platform manager with both online ordering and payment functions, so the engagement channel and parties’ actual status still matter.

Can a Vietnam-based contractor receive foreign currency from abroad?

A Vietnam-resident individual may receive a foreign-currency transfer from abroad into a foreign-currency account at an authorized bank. That is different from the general domestic restriction on foreign-exchange transactions and pricing. The authorized institution selects the transaction-appropriate documents, which the customer must provide, so there is no universal receipt checklist.

What if the client pays a Vietnam service invoice late?

Start with the agreed due date; absent another agreement, the Civil Code puts the service fee due when the service is complete at the place of performance. A late-paying party owes interest under the Civil Code route, while a contract governed by the Commercial Law can use its market overdue-debt interest rule. An agreed breach penalty is separate from late interest and is generally capped at 8% of the breached obligation’s value under the Commercial Law.
