A foreign company may engage a genuinely independent Brazilian individual (PF) or business (PJ). A CNPJ or invoice does not decide the relationship: its real direction, personal performance and continuity determine whether it has CLT characteristics. For work shaped like employment, see the Brazil employment guide and employer of record guide. 4dev.com works with Brazilian contractors through its Contractor Platform.

Where the line runs: contractor or employee in Brazil

Brazilian contractor status turns on how the work is actually performed, not on whether the provider uses a PF, MEI or PJ registration. Under the CLT, the relevant pattern is a natural person doing non-occasional, paid work under the company's dependence; the employer is the enterprise that directs the personal services and assumes the business risk.

What control looks like in practice

An independent engagement is defined by the delivery and the contractor's autonomy in producing it. A developer retained for a scoped software deliverable, with agreed acceptance criteria and latitude over how and when to complete it, presents a different fact pattern from someone required to attend fixed hours, report to a manager for direct supervision and perform the work personally without practical scope for replacement. Those questions frame the review rather than settle it alone: CLT article 9 means a PJ label, an invoice or contract wording cannot cure an employment-shaped arrangement.

“Companies should reassess their organizational structures, business models and hiring models.”

— Rafael Caetano de Oliveira, Partner – Labor & Employment, Mattos Filho

What Tema 1389 has and has not decided

Tema 1389 has no final merits decision on engaging a PJ or autonomous worker, proof of alleged fraud, or the court competent to decide the dispute. Since 18 June 2026, first-instance labour courts and regional labour courts may resume the relevant cases through judgment; the stay returns after the regional-court judgment while the Supreme Court's merits decision remains pending. That procedural change neither approves every PJ contract nor leaves all such cases frozen.

Where contractor status breaks: CLT and MEI thresholds

First decide whether the working relationship is independent under the CLT. Then check whether the provider qualifies for the chosen business status and whether the service contract meets its term limit. Passing one test does not settle the others.

GateRuleWhat the client checks
CLT factsPersonal, non-occasional paid work performed under the client's dependence can indicate an employment relationship; a PJ label or invoice does not cure that pattern.Review the actual direction, personal performance, continuity and allocation of business risk before choosing a provider form.
MEI permitted activityAn MEI's actual activity and CNAE must match an occupation in Annex XI of CGSN Resolution 140/2018.Match the specific service activity and CNAE against the permitted list; do not assume that software work qualifies.
MEI revenue ceilingThe ordinary gross-revenue ceiling is R$81,000 a year, prorated at R$6,750 for each active month when the activity starts midyear.Calculate the provider's gross revenue for the relevant period and the number of active months.
ME and EPP size bandsA microempresa has annual gross revenue up to R$360,000; an empresa de pequeno porte is above R$360,000 through R$4.8 million. These are size bands, not legal entity forms.Identify the entity's actual legal form and compare its revenue with the relevant band.
Service-contract termA general Civil Code service contract cannot be agreed for more than four years.Check the agreed term and any extension against the four-year limit.
Decision tree that first checks the lived work for CLT employment facts, then routes independent work to PF, eligible MEI or another PJ.
A CNPJ or invoice does not cure employee-like facts; MEI also requires an eligible activity and revenue check. Sources: 4, 5, 6.

LC 123 also excludes a company from the ME/EPP differentiated regime where its owner or partner cumulatively has personal service, subordination and habituality in relation to the customer.

The current MEI ceiling remains R$81,000. A 2026 bill proposes ceilings of R$110,000 in 2027 and R$140,000 in 2028, but neither proposal is in force.

How a Brazilian contractor registers as PF, MEI or another PJ

A PF is a natural person identified by CPF who can work on their own account as a contribuinte individual. MEI and other PJ routes use a CNPJ; MEI eligibility depends on the actual activity and CNAE rather than a job title. For an own-account contribuinte individual, INSS describes a 20% contribution on the contribution salary, subject to limits, or an 11% reduced option on the minimum wage only.

Register an eligible MEI through the Portal do Empreendedor. For a non-MEI PJ, the official CNPJ registration service sets out municipal location viability, approval of the legal and name rules by the competent registration authority, and the tax-regime choice before registration. ME and EPP are revenue-size bands rather than PJ legal forms.

PF and the identity of the customer

Whether the customer is Brazilian or foreign changes the PF provider's documented social-insurance and income-tax path. When a PF contribuinte individual provides services to a Brazilian company, that company remits the contributor's social-insurance contributions; Receita lists an 11% insured-person contribution subject to the applicable ceiling, and an ordinary Brazilian company has a 20% employer contribution on remuneration paid or credited. The company must also provide a service-payment receipt recording the remuneration, social-insurance deduction, its CNPJ and the provider's INSS registration number.

For a Brazil-resident PF receiving taxable work income from a foreign source, Carnê-leão generally applies monthly, subject to applicable double-taxation arrangements. The Brazilian-company remittance and receipt rules do not automatically apply to a foreign customer.

The service contract: scope, rights and an exit

Before work begins, set out the deliverables, supporting records and exit terms in the service contract. Civil Code rules govern paid material or immaterial services outside labour or special law. Contract wording still cannot change a relationship performed under the client's dependence.

Clauses for independent work

The agreement should identify the legal parties and individual signers, then state the project deliverables and acceptance criteria. It should also record the contractor's operational autonomy, required documents and tax representations, confidentiality, pre-existing material, governing law and dispute process. A clause that describes a scoped service is useful evidence of the intended arrangement; fixed hours, day-to-day control and personal-service restrictions in the working practice still require their own classification review.

Who owns the software and other deliverables

Software and other creative deliverables follow different Brazilian statutory defaults. Where software development is the contracted activity, the Software Law generally allocates rights in the commissioned software to the service client unless the parties agree otherwise. For design, content and other copyright works outside that rule, a total and definitive transfer of economic rights requires a written stipulation; without a territorial term, an assignment is valid only in the country where the contract was signed.

List code, documentation, designs and content separately, then record the actual author, the contracting entity and the buyer's rights for each item. Where an individual author creates work through a Ltda, check the author → contractor → buyer documentation and signatures for that arrangement. A gap in the paper trail does not automatically displace the Software Law default for commissioned software.

“The contract is signed by the Ltda, but the person who holds the originating rights is the individual partner.”

— Marcio Santos, Attorney and Cross-Border Counsel, Marcio Santos Law

Ending the contract

The agreed term, notice and exit steps should govern the end of an independent service engagement. A general Civil Code service contract cannot be agreed for more than four years. If neither the agreement, the nature of the work nor local custom sets a term, either party may end the contract on notice: eight days for remuneration set by a month or longer, four days for a week or fortnight, and the preceding day for a term under seven days. Those are Civil Code defaults, not the 30–90 day employee notice framework.

What invoice or service document must a Brazilian provider issue?

The provider's status and applicable NFS-e regime determine the Brazilian service document. A foreign buyer's commercial invoice serves a different purpose. Establish the provider's CNPJ or CPF route and the customer's identifying details before preparing either record.

PF receipts and NFS-e

A PF who provides services to a Brazilian company receives the service-payment receipt described in the previous section, while NFS-e duties depend on provider status and municipal rules. An MEI providing services to a legal person must issue the national-standard NFS-e. An autonomous PF may use that service where municipal law permits; this does not create a national PF issuance mandate.

The national NFS-e identifies the provider by CNPJ and, for a domestic legal-person customer, records that customer's CNPJ. A foreign customer is excepted from the customer's-CNPJ field, so the provider should retain the foreign buyer's available identifying details for the document path.

Does a foreign customer make it an ISS export?

A foreign customer does not by itself make the service an ISS export. LC 116 excludes service exports from ISS, yet it keeps within ISS services developed in Brazil whose result occurs in Brazil, even if a foreign resident is the customer. São Paulo's NFS-e instructions apply the same result-location distinction locally: select Exportação de Serviços only where the result is abroad, and use its São Paulo taxable-service path when the result is in Brazil. The municipal instruction is an operational example, so the provider must check the relevant local rule rather than treating it as a Brazil-wide result.

The two NFS-e transition dates

From 1 November 2026, ME and EPP service providers in Simples Nacional that are subject to NFS-e issuance must use the national issuer. MEI already has its separate duty when supplying a legal person, while this change creates no national NFS-e mandate for every PF. The relevant CBS/IBS effects for Simples optants begin separately on 1 January 2027.

How money reaches a Brazilian contractor

For funds arriving from abroad, the Brazilian beneficiary uses a Central Bank-authorized foreign-exchange institution. The beneficiary should confirm the supporting documentation required for the transaction and review the VET, which includes the exchange component, taxes and possible fees. Keep the service agreement, performance and acceptance records, and provider document consistent with the transaction; the institution's document requirements depend on the engagement.

A foreign order may be sent in foreign currency or reais, but a Brazil-resident beneficiary is paid in reais. The parties should state in their agreement who bears conversion and intermediary charges, without relying on an assumed rate. Pix transfers between Brazilian accounts settle in seconds and operate around the clock, including weekends and holidays, but Pix is a domestic-account leg rather than a foreign-exchange route.

Payment terms and late payment in a service contract

Agree due dates against the service milestones and keep the acceptance record with each deliverable. Where neither the agreement nor custom provides for advance or instalment payment, the Civil Code default is remuneration after the service has been performed. No universal statutory transfer or invoice deadline is established here for contractor engagements.

If the parties have not agreed a monetary-updating index and no specific law prescribes one, the Civil Code default is IPCA. If they have not stipulated an interest rate, the legal rate is Selic minus the article 389 monetary-updating index, with a zero floor where that calculation is negative. The governing contract, forum and transaction facts can change the answer, so these Civil Code defaults do not create an employee payment schedule.

What breaks, and at which step

Check the working relationship before choosing a provider form or preparing documents. A form, invoice or contract cannot repair an employee-shaped arrangement after the fact.

StepFailureWhat to check
Work designThe engagement is labelled independent while the lived facts show personal, non-occasional paid work under the client's dependence.Review actual direction, personal performance, continuity and business risk before the contract; correct the arrangement rather than relying on a PJ label or invoice.
Eligibility and registrationAn MEI is selected for an activity outside the permitted occupation/CNAE list or the provider passes the ordinary revenue ceiling.Match the actual activity to Annex XI and calculate the relevant gross revenue; do not assume that a software-related activity qualifies.
Agreement and rightsThe contract does not identify the real signers, the accepted deliverables or the rights path from author to contractor to buyer.Record scope and acceptance, then list code, documentation, designs and content separately. Apply the commissioned-software rule to software and use a written economic-rights transfer for other copyright works where required.
Service document and ISSAn NFS-e duty is applied to the wrong provider or a foreign customer is treated as proving an ISS export.Confirm the provider's status, the customer details and the applicable NFS-e regime, including the covered Simples issuer date and the separate CBS/IBS date. Test where the service result occurs; São Paulo's path is a local example, not a national conclusion.
Foreign receiptThe transaction lacks the supporting documentation needed by the authorized foreign-exchange institution, or a domestic leg is mistaken for the foreign-exchange route.Confirm the institution's documentation requirements and VET before the transaction. A foreign order may be sent in foreign currency or reais, but a Brazil-resident beneficiary is paid in reais; Pix is a Brazilian-account leg.
CloseoutThe agreement exceeds the four-year Civil Code limit or assumes an employee notice rule.Check the agreed term first. Where no agreement, nature of work or local custom sets the notice, apply the conditional Civil Code default instead.

What a mistake costs and who pays

The cost of a mistake depends on the working relationship, provider status, documents and municipality. No single award, fine or tax total applies to every case; assess the actual transaction before assigning an amount.

PartyRiskAmount
Company engaging a purported contractorThe lived work may meet the CLT employee facts despite a PJ label or invoice. The first check is the actual direction, personal performance, continuity and business risk; Tema 1389's pending merits and limited procedural resumption do not predetermine the result.Case-specific; no verified fixed amount
PF, MEI or PJ providerThe provider may use the wrong document path, overlook a relevant PF income-tax route, or treat a foreign customer as proving an ISS export. Check provider status, customer details, local NFS-e scope and where the service result occurs.Case-specific; no verified fixed amount
Brazilian company paying a PF contribuinte individualThe company must remit the contributor's social-insurance contribution and issue the required service-payment receipt. Receita lists an 11% contributor deduction subject to the applicable ceiling; for an ordinary Brazilian company, it also lists a 20% employer social-insurance contribution on remuneration paid or credited to that contributor.20% employer social-insurance contribution where the stated ordinary-company PF facts apply
Buyer and contracting entityA rights record may not show the actual author, contracting entity and buyer, or may apply the software rule to design or content. Check the author → contractor → buyer chain, then use the commissioned-software rule for software and written economic-rights terms for other copyright works.Case-specific; no verified fixed amount
Provider, customer or other party designated by municipal lawMunicipal law may assign ISS credit responsibility to a third party connected with the taxable event. The first check is the municipality and transaction; foreign-customer status alone does not settle ISS treatment.Case-specific; no verified fixed amount

Which contractor and employment models fit the work?

A recurring, controlled staff role calls for an employment route. PF, MEI and PJ describe provider registration or tax status; the lived working relationship determines whether a contractor arrangement fits.

Direct PF/PJ service contractScoped, independently delivered services with operational autonomy. The client contracts directly for services with a PF or PJ; the form does not cure CLT employment facts.Review control, personal performance, deliverables, acceptance, provider status and the rights record.

The COR label does not settle statutory status.Check both agreements, the documentary record and the author → contractor → buyer rights chain; neither rights transfer nor liability allocation is automatic.
Own Brazilian employmentAn ongoing staff role where the company directs the work and the CLT facts are present. The company is the Brazilian employer. If a foreign company opens a Brazilian branch, obtain DREI authorization first; corporate employers use a linked CNPJ and digital certificate for eSocial, and ordinary employee admission data is due by the day before work starts, subject to the S-2190 preliminary route.
EOR employmentAn employment route where the foreign company needs a Brazilian legal employer for a staff-shaped role. The EOR is the legal employer; the foreign company remains the service customer.Confirm the provider's local employment model and the onboarding records for the particular arrangement.

If the work becomes an employee role, complete the employment onboarding records. See the Brazil employment guide for direct hiring and the employer of record guide for that model.

One contractor versus ten: what changes in Brazil

The CLT test applies to each Brazilian relationship regardless of headcount, so there is no numerical point at which a contractor team automatically becomes an employment arrangement. Scale changes the recordkeeping: a one-off scoped output may have a compact service record, while repeated staff-like integration needs a separate review of how managers assign hours and direct each person.

Maintain a per-person file that records:

  • the provider’s PF, MEI or other PJ status, actual activity and, where relevant, permitted MEI CNAE;
  • the legal signer, current service contract, scoped deliverables and acceptance record;
  • the provider document and the NFS-e regime that applies to that engagement; and
  • the actual author, contracting entity and buyer rights for code, documentation, design and content.

Review each file when the work changes or the person becomes more integrated with the team. Record rights against the actual deliverables rather than a generic IP label.

The Brazil contractor dates to put on the calendar

The procedural and document changes below affect different parts of a contractor engagement. Check MEI eligibility and the CLT facts separately.

  • 18 June 2026: the STF allowed Tema 1389 cases to resume in first-instance labour courts and TRTs, with the stay returning after a TRT judgment. The merits remain pending, so this is a procedural step rather than approval of every PJ or autonomous-worker contract.
  • 1 November 2026: covered ME and EPP service providers in Simples Nacional that must issue NFS-e must use the national issuer. This document rule does not replace the existing MEI duty to issue national NFS-e when supplying a legal person, and it does not create a general national NFS-e obligation for every PF.
  • 1 January 2027: the applicable CBS and IBS provisions for Simples optants begin producing effects under the specific regulation. It is a separate transition from the November NFS-e issuer change.

The proposed higher MEI ceilings of R$110,000 for 2027 and R$140,000 for 2028 are not in force and have no effective date.

Questions people actually ask

Can a US company hire a Brazilian contractor without an entity?

A US company can contract for genuinely independent services with a Brazilian PF or PJ. The contract, scope and day-to-day operation must support that independence; fixed personal service under the customer’s direction points toward an employment analysis.

Does a contractor need a CNPJ, or can they work as PF?

A Brazil-resident individual can work as a PF contribuinte individual on their own account, while a PJ uses a CNPJ. A PF receiving taxable work income from abroad may fall within Carnê-leão, subject to applicable double-taxation arrangements; that is separate from whether the work is independent.

Can a developer use MEI, and what happens over R$81,000?

MEI eligibility turns on the provider’s actual activity and its permitted CNAE, so a job title such as developer does not answer the question. The ordinary annual gross-revenue ceiling is R$81,000, prorated at R$6,750 per active month for a midyear start; moving beyond the applicable MEI conditions calls for a review of another PJ route.

Does a PJ invoice prevent an employment claim?

No. CLT article 9 means a PJ label or invoice cannot by itself cure an employment-shaped arrangement, and the actual direction, personal performance and continuity of the work still matter. Tema 1389 concerns the legality of engaging a PJ or autonomous worker, alleged fraud and jurisdiction, but its merits remain pending.

Must a contractor issue NFS-e to a foreign client?

A MEI supplying services to a legal person must issue the national-standard NFS-e, while an autonomous PF can use that service where municipal law allows. In the national NFS-e fields, a foreign customer is an exception to the domestic legal-person customer CNPJ field; check the provider’s regime and municipality before issuing the document.

Is foreign-client work automatically ISS-exempt?

No. ISS export treatment depends on where the service result occurs, and services developed in Brazil whose result occurs in Brazil are not excluded merely because a foreign resident pays. São Paulo’s instructions are a local example of that result-location test, so the provider must also check the relevant municipality.

Who owns software written through the developer’s Ltda?

For software created as the contracted development activity, the commissioning service client generally receives the rights unless the agreement says otherwise. Documentation, designs and content follow the separate copyright rule for a written definitive economic-rights transfer, so the individual author, Ltda and buyer should document the chain for the actual deliverable.

How do I convert a contractor to an employee?

Treat conversion as a change in the working relationship: define the employee role and use an employment route when the company will direct ongoing personal work. A new document alone does not resolve the earlier classification facts, so preserve the prior contract, deliverables and acceptance records and review the employment setup for the new role.
