General information, not legal or tax advice — confirm with a local adviser before you act.

A foreign client can hire a Costa Rica-based contractor for genuinely independent services. Under Article 18, remunerated work performed under permanent dependence and direction may instead be employment, whatever the agreement says. The contractor registers the activity in the RUT, seeks CCSS affiliation where the activity qualifies, and follows the authorised electronic-invoice rules. For work that calls for employment, see the Costa Rica hiring guide and employer of record guide. 4dev.com is a global contractor platform working with contractors in Costa Rica; its Contractor Platform covers independent-contractor workflows.

Where the line runs between an employee and contractor in Costa Rica

Article 18 treats remunerated work under the recipient's permanent dependence and immediate or delegated direction as employment. It also presumes a relationship between the person performing the work and the recipient, regardless of a contractor clause or choice-of-law wording. That presumption can be rebutted, but the Procuraduría treats subordination as the decisive distinction and assesses the evidence case by case.

An independent worker, in the CCSS description, acts autonomously, assumes the activity's risk and controls its important decisions. Compare the agreed deliverable with the work in practice: who sets the schedule, gives day-to-day instructions, supplies the tools, decides the method and controls the result. These are practical indicators, not a statutory checklist: a developer responsible for a defined result who chooses the method and tools points differently from someone placed on fixed shifts and directed every day by a client manager.

RUT registration, CCSS affiliation and an electronic invoice may be required. None establishes independence when the client directs the work as an employer would.

Discussing company-to-company outsourcing, Murillo identifies the question of control. His observation does not establish an individual provider's status:

"Determine the degree of autonomy that one company has from the other."

— Claudio Murillo, Partner, Legal, BDO Costa Rica (translated from Spanish)

A decision tree asking whether the service recipient exercises permanent dependence and direction, leading either to an employment presumption or to independent-worker indicators of autonomy, risk and control.
A contract label, one client or a long engagement does not create a verified safe harbour. The facts of control and subordination are assessed case by case. Sources: 4, 5, 6.

Where contractor status breaks

Costa Rica has no verified duration, client-count or income safe harbour for contractor status. Classification depends on subordination. CCSS, RUT, VAT and IP obligations have separate tests.

Question or triggerRuleWhat it does not prove
A long engagement or one clientNo verified duration or client-count safe harbour is available. That the work is independent, or that staff-like direction is acceptable.
A qualifying independent activity startsThe worker must seek CCSS affiliation within eight working days. People below a periodically set minimum contribution amount are excluded from compulsory cover, but the current amount is not verified here.A current income threshold, a turnover threshold or a classification rule.
CCSS contribution baseContributions use net income: receipts less activity expenses that are necessary, reasonable and consistent with the work. CCSS can use a presumed base where a new worker lacks sufficient supporting records. That contributions are calculated on gross fees, or that employee payroll rates apply.
January 2026 CCSS minimum basesCCSS displays distinct minimum contributory bases of ₡346,789 for SEM and ₡324,590 for IVM.Which current amount governs compulsory independent-worker affiliation, or a complete contribution band.
IVM and SEM ratesIndependent-worker rates come from separate CCSS scales, not employer or employee payroll rates. The 2026 global IVM change does not establish a complete independent-worker band table. That an employee minimum wage or salaried payroll rate can be applied to a genuinely independent fee.
A reportable economic activity beginsRUT registration is generally due within ten working days where no more specific deadline applies. That the provider is independent, or that the VAT treatment is settled.

RUT registration records a reportable activity. Export-service VAT treatment depends on use outside Costa Rica's tax territory, and economic-rights transfer requires a public or private instrument before two witnesses. None of these records settles employment status.

How a contractor registers in Costa Rica

A contractor registers reportable activity with Hacienda and addresses CCSS contributions separately. Neither step changes the status of subordinate work. A person starting a taxable or formally reportable activity registers in the Registro Único Tributario (RUT), generally within ten working days where no specific deadline applies. The RUT records the fiscal and activity addresses, contact details and primary or secondary economic activities. Current registration uses TRIBU-CR; under the enacted annual rule, the taxpayer must confirm or update RUT details, though the administration may change that frequency. A RUT entry is not an activity licence.

For a qualifying independent activity, the worker seeks CCSS affiliation within eight working days of starting it, including where salaried coverage already exists. The contribution base is net income: receipts less necessary, reasonable, activity-consistent expenses, supported by records; CCSS can use a presumed base while a new worker lacks sufficient evidence and later verify it. For billing from January 2026, CCSS lists minimum contributory bases of ₡346,789 for SEM and ₡324,590 for IVM. The notice alone does not establish which current amount governs compulsory independent-worker affiliation or supply a complete contribution band.

What the foreign client should collect

Ask the contractor to confirm that the RUT activity matches the service scope, explain the applicable CCSS position, and issue documents identifying the same provider named in the agreement. This is an operational check, not a statutory filing by the foreign client. Match the service description, contractor identity and electronic-invoice details across those records before accepting the work. The statutory clocks above are not a universal registration-completion or onboarding promise.

The contract: what must be in it

The agreement should define the independent service and its deliverables. The service must also be independent in practice. Costa Rican commercial contracts generally follow the parties' expressed intent without a special validity form, but that general rule has important exceptions, including copyright transfers.

Clauses for a genuinely independent service

Set out the deliverables, the provider's method and control, acceptance criteria, fee and currency, supporting records, confidentiality, termination terms and governing law. These are prudent drafting terms, not a universal statutory list. The agreement and the working pattern should match: a document cannot override the Labour Code if the client actually exercises permanent dependence and direction.

Who owns software and other work

The author initially holds both economic and moral rights in original work, including software. A full or partial transfer of economic rights must be in a public or private instrument before two witnesses, and should expressly identify the rights transferred, permitted uses, duration, territory and governing law. A routine signature without that two-witness form is not enough for the transfer, and payment alone is not an assignment; moral rights remain personal, nonwaivable and perpetual.

Ending the contract

Agree notice, what counts as delivered and accepted work, the records due on exit, and how the parties resolve a disputed acceptance. For a commercial obligation within the Code of Commerce, default follows the agreed date or, where there is none, a judicial or extrajudicial demand; that is not a universal private-services deadline. If the facts establish employment instead, the statutory employment rules apply rather than the services agreement's label.

What a Costa Rican contractor must produce to invoice

The contractor needs a RUT identity and an authorised electronic document for the service. The customer's foreign address alone determines neither the document type nor its VAT treatment. The RUT activity and provider identity should match the service agreement. An electronic invoice is generated and transmitted at the time of the service, while an electronic export invoice applies to services performed from Costa Rica toward abroad where that document is applicable.

Version 4.4 has been mandatory since 1 September 2025. For a nonresident recipient, its export-invoice presentation uses a nonresident-recipient identification-type field; tariff-line information is for CABYS goods, not service invoices. A separate reference-code implementation takes effect on 1 November 2026 for issuers' systems, but it is a later specification change rather than a new v4.4 start date.

Does a foreign customer make the service VAT-exempt?

No. A service supplied by a taxpayer located in Costa Rica is treated as performed in Costa Rica, with an exemption for an exported service only where the service is used outside the tax territory. The customer's foreign address does not, on its own, establish that use. Costa Rica's remittances-to-abroad rule also does not create a universal Costa Rican withholding duty for a foreign payer engaging a Costa Rica-resident contractor.

The invoice records the service; it does not decide employment status or assign software rights. The economic-rights transfer requires the separate two-witness instrument.

A process from a registered Costa Rican service through document selection and a separate VAT territorial-use test before generating and transmitting the selected electronic invoice at the time of service.
Version 4.4 has been mandatory since 1 September 2025. An export invoice and VAT exemption depend on the documented service and territorial use, not the foreign payer's address alone. Sources: 8, 9, 10, 11, 12.

How the money actually arrives in Costa Rica

The payer and recipient accounts determine which receiving rail is available. Domestic SINPE routes and inbound SWIFT transfers have different account and documentation requirements.

MethodScopeRecipient information and currencyLimit
SINPE Pagos Inmediatos (PIN)Domestic transfer between IBAN accounts; real-time, 24/7.Recipient ID and IBAN, amount and currency, payer name and ID, and transaction date.A domestic IBAN rail, not an international-wire route; the participating institution sets its own fee.
SINPE MóvilDomestic mobile-number or alias account rail. The linked account is in colones. It is not a universal USD or international-wire rail.
Inbound SWIFT transferInternational receipt through the receiving bank.Banco de Costa Rica asks for its SWIFT details, plus the recipient's registered name, physical address and IBAN.Recipient requirements are bank-specific, and no universal arrival time applies.
A decision tree separating a domestic IBAN transfer through SINPE PIN, a colón mobile-alias transfer through SINPE Móvil, and an international wire using SWIFT, name, address and IBAN details.
SINPE PIN is a domestic IBAN rail; SINPE Móvil is a colón mobile-alias rail. International-wire requirements shown are Banco de Costa Rica's recipient instructions, not a universal timing promise. Sources: 13, 14, 15.

Agree the invoice currency, any conversion arrangement and responsibility for bank charges in the services agreement. Banco Nacional's source-of-funds procedure at USD 100,000 or more is an institution-specific requirement, not a nationwide contractor threshold, and a bank can seek supporting documents below that amount. International SWIFT timing can depend on intermediary and recipient-bank processing, so a completed, in-transit, stopped or rejected status does not support a universal timing promise.

Payment terms and late payment

Set the acceptance milestone, due date, invoice currency, responsibility for bank charges and a dispute procedure in the services agreement; Costa Rica does not supply a universal private-services net-30 or net-45 deadline here. The due date should follow the agreed acceptance event rather than an assumed wire-arrival time.

For a commercial obligation within the Code of Commerce, default follows the day after an agreed due date. If the parties have not agreed a date, default follows a judicial or extrajudicial demand. That rule is limited to the relevant commercial obligation and does not turn every contractor invoice into the same statutory schedule.

The Code's interest provisions are conditional rather than a fixed rate for every service: Article 498 refers to the current-interest rate unless otherwise agreed, while Article 497 supplies legal-interest references where interest has not been agreed. These provisions do not establish one interest percentage for every contractor invoice.

What breaks, and at which step

Check each handoff from the services agreement through receipt. A correct tax invoice does not repair staff-like supervision, incomplete IP transfer or missing registration evidence.

StepFailureWho checks/fixes
Scope of work and actual supervisionThe statement of work describes an independent service, but the client directs daily work under permanent dependence.Client and provider compare the working pattern with the agreed deliverables and review whether the employment model is the factual fit.
CCSS position and expense recordsThe contractor cannot support the net-income base with necessary, reasonable activity expenses, or has not addressed the qualifying independent-worker affiliation duty.Contractor keeps the supporting records and addresses their CCSS position; the client can request confirmation as an operational check, not make a statutory filing for the contractor.
RUT and invoice identityThe RUT activity or provider identity does not match the contracted service or electronic invoice.Contractor corrects the registration or document record; client matches the agreement, service description and invoice identity before acceptance.
Invoice and VAT useAn electronic invoice is treated as proof of independent status, or a foreign customer address is treated as automatic VAT exemption.Contractor issues the authorised document and tests territorial use; the tax document does not decide employment status.
IP transferThe parties assume that an invoice or acceptance transfers software rights. The parties use the separate public or private economic-rights instrument before two witnesses, with the transfer scope stated expressly.
AcceptanceThe service was delivered, but acceptance criteria or disputed deliverables were never recorded.Client and provider document acceptance or use the dispute process agreed in the services contract.
Bank receiptA bank requests further recipient or source-document information, or an international transfer remains in transit.Recipient supplies the receiving bank's required details and documents; a bank-document delay is not an invoicing rule.

In local self-reports, invoices coexist with staff-like work, and independent workers describe difficulty documenting CCSS expenses. These accounts do not establish a legal violation, a retroactive bill or a particular tax result.

What a mistake costs and who pays

The cost of an error depends on the obligation and the responsible party. There is no established universal Costa Rican contractor-reclassification fine.

PartyRiskAmount/limit
ContractorLate or incomplete RUT, CCSS or electronic-document position; unsupported expense records or an incorrect VAT-use premise.Registration, contribution and tax correction depend on the facts and records. CCSS uses net income, not gross fees. The January 2026 SEM ₡346,789 and IVM ₡324,590 figures are separate quota-calculation bases; the notice alone does not identify which current amount governs compulsory independent-worker affiliation.
Client treated as the actual employerWork is performed under permanent dependence and direction despite the services label.Employment-related rights and duties follow the factual relationship; no universal fine is stated here.
Uninsured actual employerOccupational-risk cover is missing where the person is in fact an employee. The employer owes medical, rehabilitation and cash benefits otherwise covered by the insurance; no universal total is established.
Employer using an intermediaryArticle 3 facts apply: an intermediary engages workers for the employer's benefit.Joint responsibility follows only under that arrangement; the amount depends on the underlying obligation.
Client and contractorEconomic-rights transfer is missing or does not meet the required form and scope.Rights ownership and enforcement remain uncertain; no universal amount is stated.

For the detailed local employee entitlements that can become relevant after a factual employment finding, see the Costa Rica hiring guide. A contractual label, a tax invoice or a bank record does not replace the separate employment, registration, insurance and IP analysis.

Models and when each fits

Choose an independent-service model for genuinely autonomous output and an employment model for a role the client directs as part of its organisation; the contract title does not settle that choice.

ModelLegal working relationshipBest-fit workCheck before use
Natural-person independent serviceThe individual provides an autonomous service rather than subordinate work.A defined deliverable where the provider controls the method and important decisions.Test actual direction, risk and control against the written scope; one client or a long engagement is not a safe harbour.
Independent service companyThe client contracts with an outside business for its defined service.A separately managed specialist service with its own scope and delivery.Treat the company example as a qualified analogy, not automatic proof that a natural-person engagement is independent.
Contractor platform / Contractor-of-Record (CoR) categoryThe published contracts must show which party contracts with the client and the contractor.A team that needs a documented contractor-engagement structure across multiple independent services.Review the actual terms, Costa Rican document needs and IP provisions; do not assume liability shifts without an indemnification clause.
Employer of record employmentA Costa Rican employing entity employs the worker while the client receives the work under its commercial arrangement.A controlled, ongoing role that should be employment rather than an independent service.Check the local employer, parties, duties and employment terms in the employer of record guide.
Own-entity employmentThe client's Costa Rican entity employs the worker directly.A continuing internal role managed through the client's organisation.Check local registration, insurance, employment terms and the full route in the Costa Rica hiring guide.

Move a contractor to employment-model review when the client needs to set the person's day-to-day work, hours, managers or methods on an ongoing basis. An outside specialist-company example can help frame a defined service, but it is not a statutory safe harbour or a substitute for the factual subordination test.

One contractor versus ten

Ten concurrent service relationships create no legal threshold. They call for consistent records of how each independent service is procured and supervised. Each relationship still depends on its actual control and working pattern.

Operating pointOne defined projectTen concurrent service relationships
Manager controlAgree the deliverable and acceptance while the provider retains day-to-day execution.Assign an owner to review scopes and outcomes without making client managers daily supervisors.
Methods and toolsRecord who chooses the tools, schedule and method for the defined result.Apply the same autonomy check to every service; recurring client-set methods, hours or managers call for employment-model review.
RUT, CCSS, invoice and IP recordsKeep the provider's RUT activity record, applicable CCSS record, electronic invoice and any separate economic-rights instrument with the project file.Maintain a complete record for each provider and service; neither a registration record nor an invoice proves independent status or transfers IP.
Acceptance and status reviewRecord deliverable acceptance and revisit the arrangement if actual work departs from scope.Review records periodically for drift between written scopes and working practice; correct the model relationship by relationship, not through a team-wide assumption.

A repeatable procurement process sets a defined scope, records acceptance, retains the relevant contractor documents and checks that practice still matches independent work. An outside specialist company can illustrate a defined-service approach, but it does not make an individual arrangement safe: when the operating model becomes ongoing staff-like management, move that relationship to employment-model review.

4dev.com

4dev.com publishes Costa Rica contractor-country coverage and a contractor workflow with one agreement plus a register for contracts and closing documents. A Costa Rica-specific RUT, v4.4 invoice, IP-term or classification feature is not published, so those checks remain outside the documented workflow.

Remote

Remote lists Contractor Management, an owned Costa Rican entity, localized contracts and contractor-management compliance checks. Its Costa Rica material leaves local governing-law, IP and electronic-invoice details unstated; the contractor still needs a separate RUT and document review.

Deel

Deel publishes an EOR route for Costa Rica, which is relevant where a controlled role needs an employment model. The reviewed country material does not establish a Costa Rica-specific contractor contract, IP provision, classification process or electronic-document workflow.

Kura

After RUT registration, Kura’s published Costa Rican v4.4 workflow addresses the electronic-invoice step. Its public material does not describe an independent-service contract, IP instrument or classification review.

Taxo

Taxo’s Costa Rican electronic documents address a local issuer’s record. No related feature is published for the service scope, two-witness economic-rights instrument or status analysis.

FACBOX

FACBOX lists Hacienda v4.4 compatibility for Costa Rican electronic invoices. Its public material does not describe contract drafting, IP terms or an employment-status test.

FacturaCR

FacturaCR combines Hacienda-compatible Costa Rican electronic invoicing with ERP functions. The issuer can keep that document workflow with RUT records; contractor classification and local-law service-contract capabilities are not published.

Integra Factura

Integra Factura identifies a Heredia address and publishes electronic export invoices among its Costa Rican document types. Whether an export invoice fits still depends on the service's territorial use, while engagement and IP terms are not published.

HDC Billing CR

HDC Billing CR identifies HDC Billing Costa Rica S.A. and publishes v4.4 electronic and export invoices. Its public scope is a local document workflow; an independent-service agreement, two-witness IP instrument and classification support are not published.

CiberFacturación

CiberFacturación’s FE 4.4 documents serve Costa Rican companies and professionals. After RUT registration, they can support the issuer’s document trail, while status and IP scope still need separate review.

Almendro

Almendro publishes seven Costa Rica v4.4 document types, including an electronic export invoice. The export-document option does not itself answer territorial use, contract terms or classification.

GTI Factura Electrónica

GTI’s private system addresses Hacienda’s electronic-document requirement. Its stated Costa Rican workflow does not include independent-contractor contracts, IP assignment terms or classification support.

e-FacturaCR

e-FacturaCR publishes electronic invoices, tickets, credit and debit notes, with an export-invoice workflow in its Odoo material. The recordkeeping function is distinct from the service agreement and a Costa Rican two-witness economic-rights instrument.

Tico Factura

Tico Factura is the tax authority's public electronic-invoicing tool for taxpayers. It offers a Costa Rican document route, while engagement terms, IP form and classification review remain outside that published scope.

An engagement platform or document tool cannot establish independent status or replace the two-witness economic-rights instrument. After RUT registration, a Costa Rican document tool can support v4.4 invoicing; the service's territorial use still determines whether an export invoice fits.

Questions people actually ask

Can a US company hire an independent contractor in Costa Rica without a local entity?

The contractor-status test does not turn on whether the client has a Costa Rican entity; it turns on the actual relationship, especially permanent dependence and direction. A foreign client should not treat the absence of an entity as an answer to classification, local tax presence or immigration questions, which need their own review.

How do I know if a Costa Rican contractor is really an employee?

Look at the working pattern rather than the contract title: subordination is assessed case by case, and paid work under permanent dependence and direction is employment. A provider who controls important decisions, method and activity risk points toward independent work; fixed daily direction by a client manager points the other way.

Does a Costa Rican freelancer need CCSS and Hacienda registration?

For qualifying independent activity, the worker must seek CCSS affiliation within eight working days; that requirement can also apply where the person has salaried work. RUT registration is a separate tax step, generally due within ten working days when no more specific deadline applies, and the electronic invoice follows the authorised document rules.

Are CCSS contributions calculated on the whole invoice?

No. The independent-worker contribution base is net income: receipts less activity expenses that are necessary, reasonable and consistent with the work. CCSS can use a presumed base while a new worker lacks adequate supporting records, so retain expense evidence rather than substitute a gross-invoice figure.

Should a Costa Rican contractor send an electronic export invoice?

Use an authorised electronic invoice and consider an electronic export invoice only where the service facts support that document type. A foreign customer alone does not settle the export or VAT result, and version 4.4 has been mandatory since 1 September 2025.

Is the service VAT-exempt if my company is abroad?

Not automatically. The export-service exemption depends on use outside Costa Rica's tax territory; a Costa Rican supplier's service is otherwise treated as performed in Costa Rica, so the customer's foreign address is not the test.

Can I use SINPE Móvil or a wire?

SINPE PIN is a domestic IBAN route, while SINPE Móvil uses a mobile alias linked to a colón account. An international wire uses bank-specific recipient details, and intermediary and recipient-bank processing means there is no universal arrival time.

Does paying the invoice transfer software IP?

No. The author initially holds economic and moral rights; an invoice does not itself assign economic rights. A full or partial economic-rights assignment needs a separate public or private instrument before two witnesses with defined scope, while moral rights remain personal, inalienable and nonwaivable.
