A Dutch employer of record can employ a worker while a foreign client directs the assignment, with Dutch rules determined by whether the arrangement is payrolling or paid personnel supply. Before engaging a supplier, check its Waadi activity in the KVK Trade Register and keep proof: both supplier and hirer may be fined. For other routes, see the Netherlands hiring guide on direct employment and the independent-contractor guide on genuinely independent services; 4dev.com is not an EOR, and its Contractor Platform works with contractors in the Netherlands only for genuinely independent services.

What an employer of record is in the Netherlands

An employer of record employs a worker for a client business; the term describes a market model, not a separate Dutch statutory status. In a payrolling arrangement, the provider signs the employment contract and the worker performs the assignment under the client’s direction. Where personnel are supplied for remuneration, the provider must register that activity under Waadi. The contracts and actual work arrangement determine which rules apply.

An EOR arrangement can be lawful in the Netherlands if its employment and personnel-supply structure meets the applicable rules. The provider’s label does not establish whether it is a payroll company or another paid personnel supplier. For paid personnel supply, the hirer must check the supplier’s Waadi registration before using it.

Which employment conditions follow the worker?

In payrolling, the worker has the same employment conditions and legal position as a comparable employee of the hirer, while the payroll company remains the employer. The arrangement must also provide an adequate pension; if a generally binding sector collective agreement applies, it automatically binds employers in that sector. Before terms are set, the client should give the provider the comparable employee’s conditions, applicable collective agreement, pension position, and benefits. The provider cannot establish the client’s comparator terms from its own contract alone.

What changes for supplied workers after 2026?

From 31 December 2026, the enacted Waadi amendment requires at least equivalent employment conditions for supplied workers; from 1 January 2027, the hirer must give timely notice of changes to those conditions. The Wtta admission system starts on 1 January 2027, with Labour Inspectorate enforcement beginning in 2028; neither date replaces the current Waadi check. A separate consultation proposal would add equal or equivalent conditions as an admission requirement from an intended July 2027 start; it remains a proposal.

Provider registration and how to check it

The current check is the supplier’s Waadi activity in the KVK Trade Register. A registered activity does not establish that a particular EOR arrangement meets every Dutch employment obligation. The Wtta transition and admission dates call for separate follow-up.

Current Waadi check

Use the KVK’s Waadi registration guidance to check whether paid supply of personnel, including payrolling, is registered as the supplier’s activity. Keep evidence of the check: the hirer must be able to show it made one, and the Labour Inspectorate can fine both the supplier and the hirer. The admission check follows the Wtta timetable below.

Under the future Wtta regime, suppliers must provide a €100,000 security deposit, with possible exemptions after four years of compliant operation. The separate equal-or-equivalent-conditions admission criterion remains a consultation proposal.

Who signs the contract and who must act?

The actual Dutch employer signs the employment contract; the client directs the assignment and supplies the information needed to set the employment terms. These divided tasks do not automatically transfer the client’s liability, intellectual-property ownership, or management duties to the provider.

Before the assignment begins, the worker needs to know who handles leave requests and sickness reports. Dutch statutory leave is based on working hours, public-holiday time off depends on the contract or collective agreement, and the employer’s sickness-pay duty is at least 70% of wages for up to two years, subject to the stated first-year minimum-wage rule. Keep the employment contract, the client-provider agreement, and any intellectual-property or indemnity terms separate: none of those transfers follows automatically from an EOR label.

How to hire through an EOR, step by step

Start by identifying the Dutch legal model and actual employer, then complete the employment and immigration checks that belong to that model. There is no published combined EOR onboarding time. The letter windows below apply after an employer registration where required; confirm the provider’s actual start date in its proposal.

These letter windows apply to the actual employer’s registration. Confirm the provider’s separate onboarding timetable in its proposal and contract.

If the hire needs sponsorship

Check the actual employing organisation in the IND public register of recognised sponsors rather than infer status from the provider model. For the 2026 highly skilled migrant route, the gross monthly threshold excluding holiday pay is €5,942 for a worker aged 30 or over, €4,357 for a worker under 30, and €3,122 for the reduced category; the applicable route and provider status still need an individual check.

If a contractor is moving onto payroll

Putting a contractor on an employment contract sets the terms for the new arrangement, but the earlier period still needs its own classification review. Dutch classification turns on the full facts, including authority, personal service, remuneration, direction, integration, commercial risk, and entrepreneurial conduct; use the Netherlands contractor guide to assess that earlier relationship before assuming the new contract resolves it.

What does a Dutch EOR cost over a full year?

Ask for an itemised EOR quote: salary, holiday allowance, employer contributions, pension, benefits, sickness cover, and the provider’s charge vary by arrangement. The figures below are an ordinary-employer benchmark for testing those inputs, not an EOR invoice or a provider-fee estimate.

Salary, holiday allowance and capped employer contributions

Holiday allowanceAt least 8% of the previous year’s gross annual salary, subject to stated high-earner and collective-agreement exceptionsRijksoverheid holiday allowance
AWf unemployment premiumLow 2.74%; high 7.74%Belastingdienst contribution rates 2026
Aof disability premiumSmall employer 6.27%; medium or large employer 7.63%Belastingdienst contribution rates 2026

Annual contribution ceiling€79,409 for employee-insurance contributions and the Zvw employer levyBelastingdienst wage ceiling 2026

The benchmark uses a selected 16.97% bundle: low AWf, medium-or-large-employer Aof, Wko, and Zvw on the covered base. It is not a full employer surcharge. Low AWf requires a written indefinite-term contract that is not on call; where high AWf applies instead, substitute its 7.74% rate for the 2.74% low rate. Apply the annual ceiling to covered contributions on salary plus holiday allowance. Actual Whk and any applicable pension sit outside this bundle.

Annual benchmark total€75,568.38€82,647.62€142,235.06

The capped-contributions row uses 18.49% on covered wages: the selected 16.97% bundle plus UWV’s 1.52% aggregate Whk illustration. Each contribution component is rounded to cents before the row is summed. The illustrative Whk figure is not the provider’s rate; replace it with the actual employer-specific Whk decision when reconciling a quote.

The CBS reference is a €4,921 monthly mean for a full-time employee job, excluding special remuneration. The developer illustration annualises a €34.50 hourly median at 36 hours a week. The third column uses a hypothetical €9,842.00 monthly salary, twice the CBS mean; it is not an observed wage. With an even monthly salary and 8% holiday allowance, the annual contribution ceiling is reached at about €6,127.24 a month. Replacing low AWf with high AWf in the CBS-mean model adds €3,188.81.

What the provider quote must itemise

Ask the provider to separate its charge from the employment-cost inputs; Dutch statutory rates do not establish a universal EOR fee. The quote should state the actual Whk decision, applicable collective agreement, pension scheme and pensionable base, benefits, holiday allowance, sickness and leave handling, onboarding, and exit terms. Compare those items with the ordinary-employer illustration before treating either benchmark total as the provider’s price.

Why StiPP is not a Dutch-wide surcharge

Some sectors have a compulsory pension fund, while payrolling requires an adequate pension arrangement; neither fact sets one pension percentage for every Dutch hire. StiPP’s 2026 contribution is 23.4% of its pensionable base, split 15.9% employer and 7.5% worker, but it applies within its temporary-agency scheme. Do not apply that rate to an EOR quote or to gross salary without confirming the applicable scheme and pensionable base.

Where an EOR arrangement runs out

No single EOR rule sets a maximum employment term or settles permanent establishment, intellectual property, non-compete terms, or the client’s obligations. The employment and commercial contracts, the actual employer, and the work itself govern those questions.

Employment term and ending the assignment

Dutch law sets contract and dismissal rules rather than one EOR duration limit. A fixed term of six months or less cannot have probation; longer fixed terms and permanent employment have the stated one- or two-month limits. For a permanent contract, statutory employer notice runs from one to four months by service length, while dismissal normally needs a reasonable ground and review by UWV or the subdistrict court; transition pay is a separate calculation that accrues from the first working day. See the Netherlands hiring guide for the full termination table rather than treating the end of a client assignment as an automatic end of employment.

Permanent establishment, IP and non-compete

If a foreign business has a Dutch permanent establishment, it must withhold Dutch payroll taxes for workers in the Netherlands; the applicable tax treaty determines whether that establishment exists. An EOR label does not answer that treaty question, and recognised-sponsor status also belongs to the specific organisation shown in the IND register. Check intellectual-property assignment, confidentiality, and non-compete in the contracts that govern the work; the EOR label alone establishes no transfer of those rights or obligations.

Provider failure or switch

Before signing, establish who remains the employer if the provider exits or is replaced, whether the worker’s consent is needed, and how payroll, benefit, accrued-leave, and contract records will be handed over. The provider and employment contracts need to answer those questions; no universal transfer mechanism can be assumed. Most further flex-contract changes are enacted for 1 January 2028, but they are not current rules for a 2026 employment arrangement.

When can you hire in the Netherlands without an EOR?

You can hire without an EOR by employing the person directly through a Dutch entity or a registered foreign employer, or by engaging genuinely independent services where the actual relationship supports that status. Start with the work relationship and the party that will employ or contract with the individual; incorporation of a Dutch BV is a separate question.

A foreign business with a Dutch permanent establishment must withhold Dutch payroll taxes for workers in the Netherlands, and it uses the Aanmelding Onderneming buitenland form to register as an employer. A direct employer must register before its first employee starts; a first-time Dutch employer also updates its KVK record to show that staff have been hired. Those registration steps do not themselves create a Dutch BV, while the absence of a BV does not remove payroll-tax duties where the permanent-establishment and treaty facts require them. See the Dutch employer-registration steps for the direct route.

Genuinely independent services remain a separate route only when the facts support it. Authority, personal service, and remuneration are core employment features; direction, integration, commercial risk, and entrepreneurial conduct also matter, and some intermediated work can be a deemed employment relationship for payroll-tax purposes. The Netherlands contractor guide covers the classification and registration questions for that route.

A decision tree starts with the actual work relationship, then separates genuine independent services from employee-like work and identifies direct foreign payroll or a personnel supplier route.
Start with the actual relationship. Genuine independent services need a contract that matches practice; employee-like work needs an employer route and its registration obligations. Sources: 5, 15, 16.

Which alternative fits your Netherlands plan?

The route depends on who employs or contracts with the worker, the client’s control, and the registration, sponsorship, and total cost of the arrangement. In the Netherlands, “EOR” and “PEO” labels do not identify the legal employer; check the proposed arrangement’s Waadi, collective-agreement, pension, and immigration position.

RouteLegal employer / contracting partyOperational fitMain unresolved cost or risk
Foreign direct employment with registrationThe foreign business employs the workerA direct relationship where it can meet the applicable Dutch registration and payroll dutiesPermanent-establishment and treaty position; payroll registration, Whk, collective agreement, pension, and sponsorship where relevant
Dutch entity and direct hireThe Dutch entity employs the workerA direct local-employer route for a continuing Dutch operationEmployment terms, collective agreement, pension, employer contributions, and the entity’s own registration and administration
EOR or payrolling where applicableThe provider employs the worker under the actual arrangementThe client directs the assignment while the provider is the employerWhether the proposal is payrolling or paid personnel supply; Waadi evidence, comparator terms, pension, actual Whk, sponsorship status, and provider contract terms
Genuinely independent contractorThe contractor contracts for servicesWork that remains independent in practice as well as in the contractAuthority, personal service, remuneration, integration, commercial risk, and whether an intermediated arrangement is deemed employment

For a move from independent services to employment, review the earlier relationship on its own facts before deciding the new employer route. Use a direct-employment structure when the business is prepared to carry the employer obligations itself; use a personnel-supplier model only after confirming its Dutch legal form and total terms. The Netherlands hiring guide and contractor guide set out the direct-employer and independent-service requirements in more detail.

How to choose a Dutch EOR provider

Ask the provider to identify its Dutch legal structure before comparing prices. Its EOR label alone cannot answer the following questions about employment terms, registration, sponsorship, and exit.

  • Which Dutch entity will employ the worker, and is there any partner or personnel-supply chain behind the proposal?
  • Is the arrangement payrolling, another form of paid personnel supply, or a different employment model; what Waadi registration evidence can you provide?
  • What is your Wtta transition and admission plan, and which dates in that plan are current law rather than consultation proposals?
  • What written employment contract and AWf basis will apply, and which collective agreement supplies the comparator terms?
  • Which pension scheme applies, what is its pensionable base, and how does it meet the adequate-pension requirement where payrolling applies?
  • What employer-specific Whk decision, holiday allowance, benefits, sickness, leave, onboarding, and exit items are included in the employment-cost calculation?
  • If sponsorship is required, is the actual employing entity listed as an IND recognised sponsor for the relevant route?
  • Who receives leave and sickness reports, who briefs the client manager, and how will changes to the client’s employment conditions be passed to the provider?
  • Who is responsible for reviewing permanent-establishment exposure and the intellectual-property, confidentiality, and non-compete clauses that apply to this engagement?
  • How do termination and a provider switch work: who remains employer, what worker consent is needed, and how do payroll, benefit, leave, and contract records move?
  • What is each separate provider charge and employment-cost item, including any collective-agreement or pension component?

Questions people actually ask

What is an employer of record in the Netherlands?

An employer of record is a market description for a provider that employs a worker for a client business. In a Dutch payrolling arrangement, the payroll company holds the employment contract while the worker performs work for the hirer. The applicable rules follow the actual contract and personnel-supply structure, including Waadi where personnel are supplied for remuneration.

Is it legal to use an EOR in the Netherlands?

It can be, if the arrangement meets the rules that apply to its actual model. The hirer must currently be able to show a Waadi registration check for a relevant personnel supplier. Wtta starts on 1 January 2027 and admission enforcement begins in 2028; the separate equal-or-equivalent-conditions admission criterion remains a consultation proposal.

Can a foreign company hire in the Netherlands without a local entity?

Yes, a foreign business can employ directly through the applicable registration route or use genuinely independent services where the facts support that relationship. A foreign business with a Dutch permanent establishment must withhold Dutch payroll taxes, and the treaty determines whether a permanent establishment exists. A foreign-established employer uses the Aanmelding Onderneming buitenland form; that registration does not itself create a Dutch BV.

How much does a Netherlands EOR cost per employee?

There is no universal provider fee in the statutory cost inputs. The ordinary-employer scenarios in this guide range from €75,568.38 at the CBS full-time mean to €142,235.06 for the hypothetical twice-mean salary, including 8% holiday allowance and capped contribution assumptions. The provider quote still needs its actual Whk, pension, benefits, sickness, leave, and charge items.

Can an EOR sponsor a highly skilled migrant?

Check the actual employing organisation in the IND recognised-sponsor register; sponsor status does not follow from calling a provider an EOR. For 2026, the gross monthly highly skilled migrant thresholds excluding holiday pay are €5,942 for workers aged 30 or over, €4,357 for workers under 30, and €3,122 for the reduced category. The route and the organisation’s status need an individual check.

What is the 30% ruling in the Netherlands?

The expat scheme may allow up to 30% of compensation to be tax-free for qualifying incoming workers, subject to its conditions. For affected users, the maximum moves to 27% in 2027, but the result also depends on whether the individual decision began by the end of 2023, in 2024, or from 2025. An EOR label does not establish eligibility or preserve a rate.

What happens if my EOR exits the Netherlands?

Do not assume the employment contract, benefits, accrued leave, or records move automatically to a replacement provider. Confirm in advance who remains employer, whether the worker’s consent is needed, and how each record moves. The provider agreement and employment contract should cover that handoff.

Does an EOR take responsibility for an existing contractor’s past work?

Moving a contractor to employment sets the new arrangement but does not determine how the earlier work is classified. Dutch classification considers authority, personal service, remuneration, direction, integration, commercial risk, and entrepreneurial conduct. If the earlier relationship is reclassified, the client may need to correct payroll-tax returns and pay the resulting levies, so ask who will review and document that period.
