Hiring contractors in Italy

General information, not legal or tax advice — confirm with a local adviser before you act.
A business outside Italy can commission an Italian independent professional, but a Partita IVA or contract label does not itself establish the person’s status: the service must remain genuinely independent in how it is carried out. If the client will direct the work or needs an employment arrangement, see Hiring in Italy and Employer of record in Italy. 4dev.com is a global contractor platform whose Contractor Platform works with contractors in Italy.
Where the line runs between employment and independent work
Italian law distinguishes a service performed without a subordination bond from work under the entrepreneur’s direction. A predominantly personal, continuous collaboration whose execution the client organises raises a separate question under Article 2.
What the client actually controls
Under Civil Code Article 2094, paid work under the entrepreneur’s direction is subordinate work. An independent service is instead performed mainly by the individual without a subordination bond to the client. In practice, examine who determines the method and sequence of work, selects or requires the tools, and integrates the person into the client’s organisation; a title, a Partita IVA or a roster of customers does not displace what actually occurs.
Hetero-organisation and formal reclassification are different findings
Article 2 of Legislative Decree 81/2015 applies the discipline of subordinate employment to predominantly personal, continuous collaborations whose performance the client organises, including work organised through digital platforms. The provision has listed exceptions, including certain collectively regulated collaborations and intellectual professions requiring enrolment in a professional register. This extension of protections does not automatically reclassify the agreement as subordinate employment; if the facts show actual direction, however, that remains a separate route to a subordinate-work finding.
“Any multiple-client arrangement in which the collaborator works is not, in itself, capable of excluding hetero-organisation.”
— Leonardo Alestra, Director, National Labour Inspectorate (translated from Italian)
Neither a Partita IVA nor multiple customers rules out client direction or organisation of the work.

Where contractor status breaks
Client control and organisation govern the worker-status analysis. The forfettario limits below govern a tax regime, even when the person has one principal customer.
| Worker-status signal — actual direction | Work under the entrepreneur’s direction points to subordinate work; the agreement label and Partita IVA do not decide the issue. | Civil Code art. 2094 |
| Worker-status signal — client-organised collaboration | Predominantly personal, continuous work whose execution the client organises can attract subordinate-employment protections, subject to the Article 2 exceptions; this does not itself formally reclassify the relationship. | Legislative Decree 81/2015 art. 2; INL Circular 7/2020 |
| Forfettario screen — prior-year receipts | Prior-year receipts or fees, annualised, must not exceed €85,000. | Law 190/2014 — forfettario rules |
| Forfettario exit — current-year receipts | Receipts above €100,000 end the regime in that same year; VAT is due from the transaction that causes the excess. | Law 190/2014 — forfettario rules |
| Forfettario screen — staff and collaborator spending | Prior-year gross spending on employees and specified collaborators must not exceed €20,000. | Law 190/2014 — forfettario rules |
| Forfettario screen — current or recent employer | Predominant activity for a current employer, a former employer from either of the prior two tax periods, or a connected person excludes the regime; it is not a one-customer employment rule. | Law 190/2014 — forfettario rules |
| Forfettario screen — prior employment income | For tax years 2025 and 2026, the preceding-year employment or assimilated-income screen is €35,000; it does not apply where that employment ended. | Law 207/2024 art. 1; Law 190/2014 — forfettario rules |
| Tax calculation after entry, not a status test | The substitute tax is 15% of taxable income calculated with the activity-specific profitability coefficient, or 5% for an eligible new activity in its opening tax period and four following periods. | Law 190/2014 — forfettario rules |
The two receipts limits operate in different tax years; neither decides worker status.

The €85,000 and €100,000 clocks
The €85,000 condition looks back to prior-year receipts or fees and annualises them; failing an ordinary eligibility condition generally affects the following year. The €100,000 rule instead concerns receipts in the current year and ends the regime in that year, with VAT due from the transaction that crosses the limit. These are tax-regime clocks, not a minimum income, customer-count rule or worker-status test.
Former-employer work is a separate tax screen
Predominance for a current or recent former employer, or a connected person, is tested at the end of the tax year and affects the following period. That rule does not make every person with one customer an employee, and multiple customers do not settle the separate control and organisation analysis. The €35,000 preceding-year employment-income screen for 2025 and 2026 is distinct again, and does not apply when the employment relationship has ended.
How a contractor registers in Italy
An individual professional must register the tax activity and the applicable insurance position. The activity determines the filing route, while pension coverage determines the insurance category; independence still depends on the actual work arrangement.
Partita IVA, AA9/10 and the correct activity
An individual uses model AA9/10 to declare the start, a change or the cessation of a VAT activity. A business activity may instead require a Chamber of Commerce/ComUnica route, depending on the activity; a Partita IVA remains a tax registration, not proof that the client does not direct the work. Select the activity code for the work actually performed, then keep the classification review separate from that filing.
Forfettario and social insurance
For a qualifying activity, forfettario applies a 15% substitute tax to taxable income calculated through the activity-specific profitability coefficient, rather than to all receipts; an eligible new activity may use 5% in its opening tax period and the four following periods. The ATECO 2007-linked coefficients continue until ATECO 2025-based coefficients are approved, so an activity-code migration does not by itself establish a new coefficient or tax percentage.
A Partita IVA professional without an autonomous professional pension fund registers in INPS Gestione Separata; a regulated profession may instead have its own cassa. The 2026 rate depends on that category, so it should not be replaced with one generic “INPS rate.”
| Partita IVA professional without another compulsory pension scheme | 26.07% of the relevant self-employment income base | INPS Circular 8/2026 |
| Partita IVA professional who is pensioned or covered by another compulsory pension scheme | 24% | INPS Circular 8/2026 |
| Co.co.co. with DIS-COLL and no other compulsory cover | 35.03%; the collaborator bears one third and the client bears two thirds and remits it | INPS Circular 8/2026 |
| Co.co.co. categories without DIS-COLL | 33.72%; the contribution split applies to co.co.co., not to the Partita IVA professional rows above | INPS Circular 8/2026 |
| 2026 Gestione Separata income limits | €122,295 annual income cap; €18,808 is the income needed for a full year of pension credit, not a minimum invoice | INPS Circular 8/2026 |
These rates follow the applicable registered category; they do not determine whether the work is independent.
The contract: what must be in it
The agreement should record a real independent service: its scope, the contractor’s method autonomy, what constitutes accepted delivery and the rights each party receives in the work. For non-entrepreneur independent work, a client’s refusal to put the contract in writing is treated as abusive.
Scope, autonomy and rights in the work
Set out the parties, the services and deliverables, the contractor’s control of the method of performance, acceptance criteria, change requests, confidentiality and the agreed licence or assignment of rights. Specify whether compensation covers the stated rights and whether any rights are reserved. For original contributions and inventions made in a Law 81/2017 self-employed engagement, economic exploitation rights belong to the worker unless inventive activity is the contracted and compensated object; that rule is not a blanket answer for every commissioned deliverable.
For commissioned software, make the delivery record specific:
- Identify the source code and object code to be delivered.
- State the repository, access credentials and handover process.
- List third-party components and their licence conditions.
- Define acceptance, any requested changes, the licence or assignment, and the rights or materials that remain with the contractor.
The following observation concerns a Brescia interim order discussed by an IP lawyer, not a universal default for freelance work:
“Commissioned software belongs, in principle, to the client unless the parties agree otherwise.”
— Luigi Manna, article author and IP lawyer, Martini Manna & Partners (translated from Italian)
Ending the contract
For continuous independent work within Law 81/2017, a client clause allowing withdrawal without adequate notice is abusive; the law does not set a universal number of notice days. The agreement should therefore specify a notice arrangement that fits the service, its handover and the work in progress, rather than importing an employee CCNL notice period.
For a professional intellectual service, Civil Code Article 2237 gives the client a withdrawal route while requiring reimbursement of expenses and payment for work done. The professional may withdraw for just cause while avoiding prejudice to the client; this rule has its own scope and is not a universal ending rule for every contractor arrangement.
What the contractor produces before the client can pay
An Italian contractor may need to send a readable invoice to a foreign customer and a separate transaction-data record through SdI. The customer’s location and the service determine the applicable route and tax treatment.
An Italian domestic e-invoice
For domestic B2B services between Italian resident or established VAT persons, the electronic invoice goes through SdI; the remaining smaller forfettario taxpayers joined that route from 1 January 2024. The XML needs the supplier and client identifiers, invoice number and date, service description, taxable amount, VAT rate and amount or nature code, and recipient routing. The Agenzia delle Entrate e-invoice procedure describes the required electronic-invoice data.
A foreign customer’s invoice and the SdI data record
For relevant outbound operations with a customer not established in Italy, transaction data generally goes through SdI by the invoice-issuance deadline. That transmission does not replace the customer-facing invoice or copy: send the readable invoice to the foreign customer and retain the corresponding copy and SdI receipt. In the ordinary e-invoice schema for this foreign-data route, the recipient code is XXXXXXX, rather than the customer’s domestic SdI address.
“The XML with XXXXXXX is an esterometro data row, not an electronic invoice.”
— Roberto Curcu, article author and chartered accountant, EC News (translated from Italian)
Keep the customer copy and SdI receipt together; the service still needs its own VAT assessment.

VAT and withholding depend on the transaction
Under the general B2B place-of-supply rule, a service to a taxable customer established in Italy is located in Italy; a generic service to an overseas taxable business normally falls outside Italian VAT, subject to special-place rules. A forfettario professional generally does not charge domestic output VAT, but exceptions apply where that person is the VAT debtor. An Italian withholding agent does not withhold from forfettario receipts when the contractor supplies the required substitute-tax declaration; this does not decide foreign withholding or treaty treatment.
How the money reaches an Italian contractor
For a euro bank transfer to an Italian account, the contractor supplies a 27-character Italian IBAN; a standard online SEPA transfer executes within one working day after the payment provider accepts the order. That bank-execution clock is separate from the invoice due date, which decides when the customer is required to act under the agreement.
Where the instant euro route is available and used, it can reach the recipient in less than ten seconds at any time. Its fee cannot exceed the fee for a comparable ordinary transfer, but this rail capability is not a universal promise about the particular customer’s provider or transaction.
Currency and charges belong in the agreement
State the invoice currency, whether a conversion is required and which party bears transfer charges before the service starts. Charges vary by provider, amount, currency, recipient country and channel, so the evidence does not establish a universal conversion rate or a mandatory fee payer. Keep the agreement’s due date separate from the time a provider takes to execute an accepted transfer.
Payment terms and late payment
Set a due date and document invoice receipt and any acceptance procedure. For covered commercial transactions without a due date, those events determine which statutory clock applies; bank execution begins only after a provider accepts the order.
Which date starts the clock
Where a covered commercial transaction has no agreed due date, statutory late-payment interest generally begins after 30 days from receipt of the invoice or an equivalent request. Article 4 also supplies conditional alternatives where invoice receipt is uncertain, the invoice arrives before delivery, or a contractual acceptance or verification procedure applies. The start date therefore depends on the recorded invoice, delivery and acceptance events.
Which long clause is ineffective
Businesses may agree a term longer than 60 days only where it is expressly evidenced in writing and is not grossly unfair to the creditor. For a non-entrepreneur independent worker within Law 81/2017, a clause setting more than 60 days from the client’s receipt of the invoice or payment request is abusive and ineffective. Apply the latter rule within its non-entrepreneur independent-worker scope.
Interest and recovery
For a covered commercial transaction, statutory default interest uses the applicable published half-year reference rate plus eight percentage points. A covered creditor can also claim at least €40 in recovery compensation, with reasonable additional recovery costs potentially claimable. These remedies follow the commercial-transactions rules, not a general Civil Code interest claim.
What breaks, and at which step
Each handoff needs its own record: the signed scope for the service, the invoice and SdI receipt for tax documentation, and the agreed due date for the client’s obligation.
| Step | Failure | First check |
|---|---|---|
| Before signing | The agreement calls the work independent, but the client directs the method or organises continuous personal performance. | Record who controls the method, sequence, tools and integration; then assess Article 2 protections and its exceptions separately from formal reclassification. (Civil Code art. 2094; Legislative Decree 81/2015 art. 2; INL Circular 7/2020) |
| Before accepting the tax route | A Partita IVA or one-customer arrangement is treated as proof of independent status or forfettario eligibility. | Check the actual work arrangement separately from prior-year annualised receipts, staff/collaborator spending, current or recent former-employer work and prior employment income. (Law 190/2014 — forfettario rules; Law 207/2024 art. 1) |
| Before work starts | The scope says “software services” but does not identify what is delivered or who receives the rights. | Sign a written scope covering method autonomy, deliverables, acceptance, changes, confidentiality, licence or assignment, compensation, source/object code, repository access and third-party components. (Law 81/2017 art. 3; Law 81/2017 art. 4; Civil Code art. 2237) |
| When the invoice is issued | The overseas customer expects the Italian SdI XML, or the contractor treats it as the invoice the customer receives. | Send the customer-readable invoice or copy, transmit the required foreign-transaction data through SdI, retain the copy and receipt, and use XXXXXXX only for the ordinary foreign-data schema. (Legislative Decree 127/2015 art. 1; Agenzia delle Entrate — L’imposta di bollo sulle fatture elettroniche) |
| When tax treatment is selected | A foreign customer is assumed to make every invoice VAT-free, or forfettario is assumed to remove every VAT or withholding obligation. | Identify the customer’s establishment and the actual service, then test the place-of-supply rule, the forfettario VAT exception and the Italian withholding-agent declaration. (Legislative Decree 18/2010; Law 190/2014 — forfettario rules) |
| When bank details are used | The correct IBAN is treated as a due-date commitment, or the parties leave currency and charges unspecified. | Verify the 27-character Italian IBAN, distinguish provider execution after acceptance from the invoice due date, and state currency, conversion and charge allocation in the agreement. (Banca d’Italia — Credit transfer; Strumenti di pagamento — Bonifico) |
| When terms are agreed | The agreement has no clear due date, invoice-receipt record or acceptance trigger. | Record the due date, receipt and any acceptance procedure; then apply the relevant commercial fallback or the scoped Law 81/2017 rule for a non-entrepreneur independent worker. (Legislative Decree 231/2002 art. 4; Law 81/2017 art. 3) |
What a mistake costs and who pays
The contractor’s tax and insurance amounts depend on the applicable category. Client exposure from worker status, contract terms or IP rights depends on the facts and agreement.
| Party | Risk | Amount |
|---|---|---|
| Contractor | The forfettario calculation or eligibility screen is applied to the wrong facts, or the wrong Gestione Separata category is used. | The substitute tax is 15% of activity-coefficient taxable income, or 5% only for an eligible new activity; the 2026 social-insurance rate is 26.07% or 24% for the specified Partita IVA professional categories, not a universal invoice percentage. (Law 190/2014 — forfettario rules; INPS Circular 8/2026) |
| Contractor and client in a co.co.co. arrangement | The parties apply the Partita IVA professional treatment to a co.co.co. collaboration. | The stated 2026 co.co.co. rates are 35.03% or, for some categories without DIS-COLL, 33.72%; the collaborator bears one third and the client bears two thirds and remits it. (INPS Circular 8/2026) |
| Client and service provider | A service presented as independent is actually directed subordinate work, or a client-organised continuous personal collaboration; the written scope or IP allocation is incomplete. | Case-dependent. The evidence does not establish a universal fine, back-pay rate or IP-loss amount. (Civil Code art. 2094; Legislative Decree 81/2015 art. 2; Law 81/2017 art. 3; Law 81/2017 art. 4) |
| Creditor in a covered commercial transaction | A covered commercial invoice is late. | At least €40 recovery compensation, with reasonable additional recovery costs potentially claimable. Default interest follows the applicable half-year reference rate plus eight percentage points. (Legislative Decree 231/2002 art. 6; Legislative Decree 231/2002 art. 2) |
In a contractor-of-record model, the provider contracts with the contractor and can reduce reclassification risk. Any transfer of liability depends on the agreement’s indemnity terms.
Models and when each fits
Choose the model from the work that will actually be directed and integrated, not from a preferred label or tax registration. An independent-services route can fit genuinely autonomous work; where the client needs to direct the work as part of its organisation, use an employment route instead.
| Model | Relationship | When it fits | Switch signal |
|---|---|---|---|
| Direct independent services | The client contracts directly for a service performed without a subordination bond. | The professional controls the method of performance and the engagement remains genuinely independent. | The client begins directing the work or organising a predominantly personal, continuous collaboration. |
| Contractor Platform / COR market model | The COR is the contracting party with the contractor rather than the client contracting directly. | A business needs a separate contracting party for genuinely independent services and a structured contractor relationship. | The actual work needs an employment arrangement, or the applicable contract terms require a different allocation. |
| Co.co.co. | A registered collaboration with its own Gestione Separata contribution category and split. | The arrangement is deliberately structured in that category and the stated contribution treatment applies. | The facts or applicable registered position do not support that category; do not treat it as a universal alternative to either independent services or employment. |
| Authorised labour supply / employer of record | An authorised agency places its employee with the user, who directs and controls the work during the assignment; the user remains jointly liable with the agency for the worker’s remuneration and social contributions. | The user needs an employment arrangement without becoming the agency employer. | The proposed agency is not registered or authorised, or the assignment needs a route reviewed under the agency rules. |
| Own-entity employment | The client’s Italian entity employs the person directly. | The business will set the work direction and integrate the person as an employee. | The work becomes a genuinely independent service, or the employer route is not the relationship the facts require. |
Any indemnity or other liability allocation depends on the provider agreement.
When actual client direction or integration is required, move the engagement to an employment route rather than relying on a contractor label. Hiring in Italy explains the direct-employment route, and Employer of record in Italy explains the authorised agency route.
One Italian contractor versus ten
Ten contractors mean ten separate status and tax reviews. Shared templates can organise the work, but headcount does not establish independent status for any one person.
The review that remains individual
Assign an owner and checkpoint to each contractor:
- Engagement owner: before signing, confirm who controls the method, sequence, tools and integration of the work; do not use a Partita IVA, customer count or forfettario status as the answer.
- Tax and registration owner: before the activity or engagement changes, check the individual’s declared tax route and any applicable former-employer screen without treating either as an employment test.
- Delivery owner: before work begins and when scope changes, confirm the written service scope, acceptance point, rights allocation and any software handover requirements.
- Document owner: when the invoice is issued, retain the customer copy and, where required, the related SdI transaction-data record and receipt.
Records the team can standardise
Across ten engagements, use one controlled contract template, a change-request record, approval evidence and a rights/handover checklist, while keeping each contractor’s facts distinct. Maintain invoice copies and SdI receipts in a consistent file structure, but do not replace the underlying service, VAT or foreign-customer review with a standard form. The same discipline makes a later change in scope visible before it is treated as routine contractor work.

The table compares published Italy-specific capabilities. “Not published” means the cited material does not establish that attribute; it is not a claim that the provider lacks it.

Questions people actually ask
Can a company outside Italy hire an Italian independent contractor without an entity?
A company outside Italy can commission a genuinely independent service without an Italian employing entity for that relationship. The actual arrangement still matters: client direction can point to subordinate work, while client-organised continuous personal work can attract employment protections without automatically creating a formal employment contract.
Does one client make an Italian freelancer an employee?
No. One customer does not settle the question, and multiple customers are not a safe harbour; assess actual direction and whether the client organises the execution of a predominantly personal, continuous collaboration.
What happens above €85,000 or €100,000 in forfettario?
The €85,000 prior-year annualised receipts screen is an eligibility condition for the tax regime, not an employee-status threshold. Receipts above €100,000 end the regime in the same year, with VAT due from the transaction that causes the excess.
Can a former employee invoice the same company under forfettario?
Predominant activity for a current employer, a recent former employer or a connected person excludes the regime, but it is not an automatic employee test. Separately, for tax years 2025 and 2026, the prior employment-income screen is €35,000 and does not apply where the employment relationship ended.
Does the overseas customer receive the SdI XML?
No: the foreign-customer transaction-data transmission through SdI is distinct from the invoice or copy sent to the customer. In the ordinary schema for that data route, XXXXXXX is the recipient code; it is not the customer’s domestic SdI address.
How long can a client take to pay an Italian freelancer?
For a covered commercial transaction without an agreed due date, the statutory fallback generally begins after 30 days from invoice receipt, subject to the delivery and acceptance alternatives in the law. A business term longer than 60 days requires express written proof and must not be grossly unfair; for the specified non-entrepreneur independent-worker scope, a term above 60 days after receipt is abusive and ineffective.
Do 13th and 14th salary instalments apply to contractors?
They are not automatic features of an independent-service agreement. H011 provides 14 salary payments for the employment relationship it covers, including a Christmas 13th and a July 14th, but H011 is neither a general contractor rule nor a national 14th-salary rule.
